ATTACHMEITIT"D" GENERAT TERMS AND CONpJInONS 7. ScotF of Contracto/s Sen lceg: Contractor agrees to provide to the County services as set forth ln Attachrnent "A". No materials, labor, or facllltles wlll be furnished by the County, unless otherwise provided hereln. All work performed under this Agreement shall comply with appllcable laws and regulations. 2.@:compensationtoContractorforserv]cesrenderedunderthls Agreement shall be as set forth in Attachment "8". Where Attachment "8" requires payment(s) by the County, payment shall be based upon billings, supported unless provided otherwise in Attachment "8", bydocumentationof unitsof work actually performed and amounts earned, includlng, where approprlatg the total number of hours for the month and the total dollar payment requested. Unless speclflcally stated in Attachment "8", the County wlll not reimburse Contractor for any costs or expenses lncurred by Contractor tn performance of this Agreement. Where required, the County shall, upon recelpt of appropriate documentation, compensate Contractor, no more often than rnonthly, through the County voucher system, for Contractorrs services pursuant to the fee schedule set forth in Attachment "8". ln the event Contractor fails to perform any of its obligations under thls Agreement within the time specifled herein, then the County may withhold all monles due and payable to Contractor untll such fallure to perform ls cured or otherwise adjudicated. The County wlll not process payment for servlces rendered under this A$eement until Contractor submlts a completed W-9 (See Attachment "E"). 3. T?Xes: Contractor understands and acknowledges that the County wlll not wlthhold Federal or State income taxes from payments made to C.ontractor. Where required by State or Federal law, Contractor authorizes the County to make withholding for any taxes other than income taxes (e.g., Medicare). All compensation received by Contractor wlll be reported to the lnternal Revenue Service at the end of the calendar year in accordance with applicable IRS regulations. lt is the responsibillty of Contractor to make lts necessary estlmated tax payments throughout the year, if any, and Contractor is solely liable for any tax obligation arising from Contractor's performance of this Agreement. The County will pay sales and use taxes imposed on goods or services acqulred hereunder as required by law. Contractor must pay all other taxet including but not limited to: business and occupation tax; or taxes based on (1) contractor's gross or net income, or (2) personal property to which the county does not hold title. The County is exempt from federal excise tax, 4, l[deoendent Contractor: Contractorrs servlces shall be furnished by Contractor as an independent contractor, and nothing stated herein shall be construed to create a relationship of employer-employee or a guarantee of future ernployment. Contractor acknowledges that its entire cornpensation under this Agreement ls speclfied in Attachment "B", and that Contraetor is not entitled to iny County beneflts, including but not limlted to: vacation pay, holiday pay, sick leave pay, medical, dental, or other insurance beneflts, or any other rights or privlleges afforded to Kittltai County employees. 5. AssiFnment and Subgontractlns: This Agreement may not be assigned or subcontracted in whole or in part without the express prior written approval of the County. 5. Rlsht to Revlew: Malntenance of Records: This Agreement ls subject to review by any Federal or State auditor. The County or lts designee shall have the right to revlew and monltor the flnancial and servlce components of the work performed under thls Agreement by whatever rneans are deemed expedient by the County.
