lirnitation, on-slte inspection, inspectlon of all records or other materlals whlch the County deems <br />pertinent, and any and allcommunlcations with or evaluation by service reclplents under this Agreement. <br />Contragtor shall preserve and maintain all records relatlng to this Agreement for six (5) years after <br />termlnatlon or explratlon of the Agreement, and upon request shallmake them available for revlew by <br />any Federal orState audltor, the County, and/or any percons authorized bythe County' <br />7. Modlflcatlon <br />7,1. This Agreement may be amended by mutual agreement of the partles. Any such <br />amendment shall be in writing and signed by both parties. <br />7,2 The County may unilaterally amend this Agreement at any time by wrltten notlce <br />("Change Notlce") to Contractor, to modlfy the work to be performed under this Agreement, within the <br />general scope of the Agreement. Such changes may include, but are not limited to, chantes in the exact <br />scope of work to be performed (including modification, substltutlon, addltlon, or deletion of required <br />tasks) and changes to the schedule of performance. lf any such Change Notice causes an lncrease or <br />decrease to Contractor's cost of, or the tlme requlred for, performance of the work, an eguitable <br />adjustment ln the compensatlon to Contractor and/or in the schedule for the performance of the work <br />shallbemadebytheCountytoreflectsuchanlncreaseordecrease. Notwithstandinganydisputeordelay <br />ln arriving at a mutually acceptable equltable adjustment, Contractorshall proceed In accordance wlth all <br />Change Notlces, Wlthin thirty (30) days after receipt of any Change Notice which, ln Contractor's opinion, <br />lacks an adequate adjustment, Contractor must submit to the County a wrltten staternent requestlng a <br />modified adjustment otherwise, Contractor will forfeit its rlght to any such modlfled adJustment. The <br />County retalns the final right to deterinine adjustments hereunder. <br />8. Termlnatlon <br />8.1 This Agreement may be terminated at any tlme by mutual written agreement of the <br />parties, <br />8.2 The County, by giving written notice, may termlnate thls Agreement at any time wlthout <br />cause and without further obllgation to Contractor except for payment due for deliverables provlded <br />and/or services performed prior to the effective date of termlnation. An equitable adjustment in the <br />contracted price for partially completed tasks will be made by the County, but such adjustment shall not <br />lnclude compensation for loss of anticipated profit on uncompleted work. <br />8.3 lf Contractor defaults by failing to perform any of its obligatlons underthis Agreement, or <br />becomes insolvent, is declared bankrupt or commits any act of bankruptcy or lnsolvency, or makes an <br />asslgnment for the benefit of creditors, the County may, by written notice to Contractor, terminate the <br />Agreemen! and at the County's option, obtaln performance of the work elsewhere. lf the Agreement is <br />termlnated under this paragraph, Contractor shall not be entltled to recelve any further payments under <br />this Agreement until all of lts obligations hereunder have been fully performed, and any extra cost or <br />damage to the County shall be deducted from any money due or coming due to Contractor. Furthermore, <br />ln the event of termlnatlon under this paragraph, Contractor shall bear the costs of any eldra expenses <br />incurred bythe County ln completinE the wor( and all damages sustained, or which may be sustained, by <br />the County. <br />8,4 Termlnation of this Agreement by any means provided hereln shall not excuse any pafi's <br />performance of its obligatlons hereunder through the effective date of termlnation, except that the <br />Klttltas County Agreement for Services {rev.
