Kittitas County o City of Cie Elum o City of Ellensburg - City of Kittitas - City of Roslyn - Town of South Cie Elum <br />Section IV — Election of Officers <br />At the annual meeting, the COG shall elect a Chair and Vice -Chair. At the annual meeting, the <br />nominations will be open from the floor. Election of the Chair and Vice -Chair shall be decided <br />by a majority vote of the members present. <br />Section V — Absences of Officers <br />In the event the Chair is unable to attend a given meeting, the Vice -Chair shall assume the role <br />temporarily for purposes of managing the meeting. In the event both the Chair and Vice -Chair <br />are absent, the attending members may elect a temporary Chair from their number to manage the <br />meeting. <br />Section VI — Vacancies <br />In the event of a vacancy in the office of the Chair, the Vice -Chair shall succeed to said office. In <br />the event of a vacancy in the office of the Vice -Chair, the general membership, by a simple <br />majority vote, shall elect a new Vice -Chair. <br />Section VII — Duties of Officers <br />The duties of the officers shall be those normally or usually assigned to such offices. <br />Section VIII — Clerk <br />The Clerk shall be provided and his or her compensation paid by an agreed -upon member <br />jurisdiction, however, the jurisdiction may be reimbursed for the expense of the Clerk from the <br />budget established by the members of the COG. The Clerk will be responsible for the recording <br />and transcription of the minutes of the COG meetings, receipt and distribution of COG <br />correspondence, and other duties as assigned by the Chair with concurrence of a simple majority <br />of the members. <br />Section IX — Committees <br />Committees may be established and appointed by the Chair of the COG to assist the COG in the <br />performance of its functions. Committees may be composed of the COG members, other elected <br />or appointed officials, or citizens with particular knowledge or talent to contribute to the work of <br />the committee. <br />Section X — Amendments <br />These By -Laws may be amended at any regular or special meeting of the COG by a super <br />majority vote provided, however, a copy of the proposed amendment must be distributed to each <br />jurisdiction at least 14 day prior to the meeting at which the vote is to be taken. <br />Page 2 of 3 <br />
