<br />and rules and make a determination of the dispute. The determinatiou of the Dispute Board shall
<br />be fi:ral and binding on the parties hereto. Appeals from gtant recipients regarding reimbursement
<br />decisions made bylhe Co,.ory shal1 be n"n&ea as dispuies and determined by the Dispute Board
<br />in the sarne rnanner as previously described'
<br />5. Indemnification.
<br />A. The Counly shall indemnify and hold harmless the Cities and their officers, agents
<br />employees and elected oftcials, o, aoy oith"m, from any and ali clams, actions, suits, liability,
<br />loss, costs, expenses aud damages of any nature whatsoever by any reason of or arising out of any
<br />act or omission of the County, its officers, agents, employees and elected officials, or any of thom'
<br />relating to or arising out of tire performancJof this conhact. In the event that any suit based upon
<br />such a claim, action, loss or aamage is brought against the cities, the counfy shall defend that
<br />same at its sole cost and expense, piovided ttrat tte Cities retain the right to participate in said zuit
<br />if any principie or government;l or public law is involved; aad if final judgment be- rendered
