D. Wittrholding of any amount billed shall constitute a dispute to be resolved as follows: <br />l) The Sheriff and Prosecuting Attorney of Kittitas County and the Jail <br />Cornmander and Prosecuting Attorney for 'Walla Walla County or their <br />designees shall attempt to resolve the dispute by negotiation. Negotiation <br />mr.iiog* may be conducted once per quarter, meeting in the months of <br />January, April, July, and october if requested. tf negotiations are <br />unsuccessnrt, the dispute shall be refened to the Chairs of the Kittitas ant <br />Walla Walla Countylegislative bodies for settlement If not resolvecl by <br />them within tldrty (30) days ofreferral, the Chairs of the respective Boards of <br />Cormty Commissioners may, by nrutual written consent, apply t9 th9 Ki{tas <br />County Superior Court for appoinfine,nt of an arbitrator wlrose decision shall <br />be fixal and binding on both parties. Each party sball pay their own costs, <br />expenses and fees for arbitration or litigation. Billing Statements. The County shall provide a filling statement each quarter in <br />accordancewith section D( (A). <br />G. Unpaidbalances over 60 days in arrears may tesult in cancellation of access to KCJ for <br />booking of Walla WallaPrisoners. <br />H. Upon cancellation or expiration of this agreement, all Walla Walla Prisoners shall be <br />taken into Walla Walla County's otutody on or before the effective date. <br />X. Ternination <br />A. Termination for lvlaterial Breach. In the event either party believes the other parU has <br />materially breached any obligations under this agreement, such party shall so rytt{ the <br />breaching party in *ritiog, statiog the basis upon rarhich breach is claimed and the <br />specific Irouirio* of thii agreement claimed to have been violated.
