XIH. AMENDMENT. The parties may mutually amend this Agreement as needed for <br />purposes including but not limited to, expanding KCRTRT to include additional member <br />agencies. Such amendments shall not be binding unless they are in writing and signed by <br />personnel authorized by the legislative authority of their agency. Any such amendment may be <br />signed using multiple originals in the same manner as this agreement was made effective. <br />XIV. CHOICE OF LAW AND VENUE. This agreement will be governed by the laws of the <br />State of Washington, as to both interpretation and performance. Any action at law, suit in equity <br />or other judicial proceeding for the enforcement of this agreement may be instituted only in <br />Superior Court and venue shall be as provided by RCW 36.01.050. <br />XV. INTEGRATION CLAUSE. This instrument embodies the whole agreement of the <br />parties. There are no promises, terms, conditions, or obligations other than those contained in this <br />agreement. This agreement supersedes all previous communications, representations, or <br />agreements, either oral or written, between parties. <br />XVI. COMPLIANCE WITH THE LAW. The KCRTRT and all its members shall comply <br />with all federal, state, and local laws that apply to the KCRTRT. <br />XVH. RECORDS. Each party shall maintain its training records related to the KCRTRT as <br />required by Chapter 40.14 RCW and the Local Government Common Records Retention <br />Schedule. A copy of these records will be forwarded and maintained by the designated KCRTRT <br />Training Coordinator, who shall serve as the records officer of KCRTRT. However, each <br />member shall still be responsible for its own compliance with the requirements of the Public <br />Records Act and neither party shall be designated as the records custodian or public records <br />officer for the other party. <br />XVIII. MISCELLANEOUS PROVISIONS. <br />A. Severability. If any part, paragraph, section, or provision of this Agreement is <br />held to be invalid by any court, such adjudication shall not affect the validity of any remaining <br />sections, part, or provision of this Agreement. <br />B. Interpretation. This Agreement and each of the terms and provisions of it are <br />deemed to have been explicitly negotiated by the parties, and the language in all parts of this <br />Agreement shall, in all cases, be construed according to its fair meaning and not strictly for or <br />against either of the parties hereto. The captions and headings in this Agreement are used only <br />for convenience and are not intended to affect the interpretation of the provisions of this <br />Agreement. This Agreement shall be construed so that wherever applicable the use of the <br />singular number shall include the plural number, and vice versa, and the use of any gender shall <br />be applicable to all genders. <br />C. Interlocal Cooperation Act Provisions. Each party to this agreement may bind <br />itself to formation of the KCRTRT by signing a duplicate original of this agreement and <br />submitting such signed duplicate original to the Kittitas County Auditor for filing in the manner <br />provided for RCW 39.34.040 or alternatively listed by subject on its website or other <br />Page 7 of 9 <br />
