PROFESSIONAL SERVICES AGREEMENT <br />WHEREAS, the Washington State Department of Commerce (" Department of <br />Commerce") is the recipient of federal funds awarded pursuant to Section 604 of the Social <br />Security Act as added by Section 9901 of the American Rescue Plan Act of 2021 ("ARPA"), <br />Pub.L.No. 117-2 (March 11, 2021); <br />WHEREAS, the Department of Commerce, through the Washington State Broadband <br />Office, has awarded ARPA funds through the Infrastructure Acceleration Grant program to <br />Kittitas County ("County") for broadband infrastructure deployment and access to the <br />communities of Ellensburg, Holmes, Kittitas, and in the unincorporated Kittitas County ("Grant <br />Communities"), as set forth in a grant agreement between the Department of Commerce and the <br />County, Contract Number 23-96.810-022 ("Grant Agreement"), in which County is identified as <br />the Subrecipient and Grantee of such ARPA funds; <br />WHEREAS, the Grant Agreement sets forth the ARPA grant amount as $11,366,102 and <br />includes a County local match in the amount of $1,262,900.24, for a total of $12,629,002.24 in <br />funds to be awarded by the County to complete the Scope of Work as set forth in Attachment A <br />to the Grant Agreement; <br />WHEREAS, the County solicited for qualified service providers through a statement of <br />qualifications process consistent with state procurement law, and thereby selected Evergreen <br />Washington Connect, LLC d/b/a Lightcurve ("Lightcurve" or "Contractor"), based on the <br />Lightcurve Statement of Interest and Qualifications for Kittitas County submitted on or about <br />July 18, 2024, to assist the County in fulfilling its Scope of Work obligations as set forth in the <br />Grant Agreement, pursuant to which Lightcurve is identified as a Subcontractor as defined in the <br />Grant Agreement; <br />WHEREAS, Lightcurve shall assist the County with its compliance with the requirements <br />of the Washington State Broadband Office Infrastructure Acceleration Grant Handbook 21-23 <br />("Grant Handbook"), where applicable, wherein the County is identified as the Recipient and <br />Lightcurve is identified as a Sub -recipient as defined in the Grant Handbook; <br />NOW, THEREFORE consistent with the terms of the Grant Agreement and the Grant <br />Handbook, as applicable to Lightcurve in its capacity as a Subcontractor under the Grant <br />Agreement and in its capacity as a Sub -recipient under the Grant Handbook, the County and <br />Lightcurve (each a "party" and collectively "the parties") agree as follows: <br />This Professional Services Agreement ("Agreement") consists of the following <br />documents, which are attached hereto and incorporated herein by this reference as fully as if set <br />forth herein: <br />GENERAL CONDITIONS <br />EXHIBIT A Network Construction <br />EXHIBIT Al Work Area Map <br />Professional Services Agreement <br />Page 1 of 35 <br />
