Docusign Envelope ID: BF05B7E6-47C1-4FC5-8DEO-OFB05C45787C <br />FIRST AMENDMENT TO <br />MEMORANDUM OF AGREEMENT <br />BETWEEN MID-COLUMBIA FISHERIES ENHANCEMENT GROUP <br />AND <br />KITTITAS COUNTY FLOOD CONTROL ZONE DISTRICT <br />SUPPORTING WQC-2024-KIPWD-00228 <br />THIS FIRST AMENDMENT TO MEMORANDUM OF AGREEMENT is made and entered <br />into as of the 28th day of July, 2025, by and between Mid -Columbia Fisheries Enhancement <br />Group, hereinafter referred to as "MID-COLUMBIA FISHERIES" or "MCF," and the Kittitas <br />County, collectively referred to as the "PARTIES." <br />WHEREAS, Kittitas County and Mid -Columbia Fisheries entered into a Memorandum of <br />Agreement (MOA), effective November 7th, 2023 and authorized by Kittitas County Resolution <br />No. 2023-192 to define MCF's and the County's respective roles and responsibilities <br />implementing the scope of work for Grant Agreement WQC-2024-KiCPWD-00228; and <br />WHEREAS, Mid -Columbia Fisheries and Kittitas County identified additional opportunities for <br />collaboration in delivery of Task 3, Mercer Creek West of Railroad Avenue Design; and <br />WHEREAS, the Parties desire to amend the agreement to update the roles and responsibilities to <br />reflect this additional collaboration; and <br />WHEREAS, the Parties also desire to specify Task 3 budget allocation for MCF and the <br />County's respective Task 3 responsibilities; and <br />WHEREAS, all other elements of the MOA effective November 7th, 2023 remain unchanged; <br />NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements set <br />forth herein, it is agreed by and between Mid -Columbia Fisheries and Kittitas County to update <br />the Roles and Responsibilities Section and Appendix A as follows (additions are indicated by <br />underlining): <br />ROLES AND RESPONSIBILITIES <br />A. Mid -Columbia Fisheries will: <br />1. Implement the tasks and provide the deliverables described in the Mercer Creek <br />Design & Stewardship grant agreement, Department of Ecology #WQC-2024- <br />KiCPWD-00228 and summarized in Appendix A. <br />2. Comply with all relevant provisions and requirements of the grant agreement, <br />including quarterly and project close-out reporting. <br />3. Provide Kittitas County with all information needed for the required grant reporting, <br />and/or complete the grant reporting on behalf of the County if feasible. <br />4. Coordinate with Department of Ecology, participating landowners, Kittitas County, <br />and other stakeholders. <br />
