<br />MAINTENANCE AGREEMENT TERMS AND CONDITIONS
<br />1. GenoralscopeofCovetags: ThisAgreementcoversadiustrnents,rcpairandreplacem€ntolparlsasrequired
<br />by normal use of lhe equipment, subjecl lo lheexceplions in and in accordancewilh lhese terms and condilions.
<br />This Agreementdoes notcover charges for inshllalion ofequipmentor deinslallation ofequipment if it is rnoved by
<br />Customer. lfthe device is placed ou{side a Copiers Norlhwesi Inc. (CNW) servico area, Customer allorvs CNW to
<br />choose the servicing provider. Damage to lhe equipmenl or its parls arising outo[orcaused by misuse, abuse,
<br />negliqence, altachmentof unaulhorizedcomponents, accessories or parts, use 0fsubslandard paper or
<br />substandard suppliesorolher causes beyond lhe conltol ofCNW are notcovered by lhis Agreement and may
<br />subjectCustomer to a surcharge or lo cancellalion of lhis Agreement. ln addition, CNW may letminate the
<br />Agreementil lie equipment is modilied, damaged, altered or seNiced by personnel olher lhan CNWAuliorized
<br />Personnel, or il parls, accessodes orcomponents not meeling machine sp€cificalions are litted to lhe equipment.
<br />This Agreementdoes nolcovercharges for repairs to print controllers olher lhan described in paraglaph 3 or repair$
<br />due lo Customer or lhird party modilicalions to softilare oI hardware.
<br />2. Service Calls: SsNice calls under liis Agreement will be made during normal businers hour$, I a.m to 5 p m-
<br />Monday through Friday, atlhe installalion addross shown on lhe revetse side oflhis Agreement. Travel and labor
<br />lime for service calls aflet normal business hours, on w€ekonds and on holidays, ifand when svailable, will F
<br />charged at the published oyedime rat6s in effecl at the time the seruice call is made. CNW representalives will nol
<br />handle, disconnectorrepair unauthorized attachments orcomponents; Customer is responsible for disconnecli0g
<br />and reconnecting unauthorized atlachnrents or components. Customer heleby indemnifres and holds CNW and ils
<br />Representalives harmless lor damages to or from any utauthorized larls, components, accessoties or equipment
<br />resulting hom service performed on CNW equipment. Labor perform€d during a servce call includ€s cleaning and
<br />maintenance of lhe equipment and lhe ad.ius[nenl, rspairorreplacementof parts described below.
<br />3, lnitial Connectlon Support & Nelwork Sorvlces: CNW will provide one installaton conneclion via lhe Remole
<br />Support Team (RST) wih fre acquisilion ol your CNW copier, printer, scanns, or fax. lfCustomer requests a live
<br />technician forconneclion, lhe charges are not included in lhis maintenance agle€menl and are billed at the lhen
<br />clrent not\4ork lechnician rale of $ 199ftr. Cuslomer will provide an active network port, adequate space for the
<br />MFP device(s), and a keycontact for ne[fiork installation support, workstation setup and prinldriver overuiew
<br />faining. Ctslomer also agrees to provide print server access for server based ptinter applications as w€ll as all
<br />required netwsk protocol informalion pertaining to lhe purchased options. CNW will also provide Remole Supportof
<br />lhe product tor no charge as itemized: (A) scanning, printing, copying, and paper fay configuratbn as provided by
<br />tie msnufaclurer (lhis does not include lhird party applicalions); (B) sending lhe customeronline links lo self install
<br />manufacturer driver and sottware updates; and (C) the reconfiguration olthe purchasedlleased devic€ net',6rk
<br />s€ttings after a machine hard drive failure; Some customerrequosls beyond hetotmal scope of items A"gmay be
<br />billed at lhe cunent rate of $98.00 per incident (Remote Support) oI $199 per hour (On-site NetrmIk Tech
<br />0ispatched).
<br />4, Repair and Replacement ol Parts: All pans n€cessary lo lie op€raljon of lie oquipmenl due to normal wear
<br />and tear, with trE exception of lhe pads listed below and subj€cl lo lhe general scopo ofcoverage, will be furnished
<br />fee ofcharge during a service call included in lhe maintenance seruhe provided by this Agreement. Excepfions ate
<br />consumable ilems, drum units, fuser units, and maintenance kils unless olheeise slaled in lhisAgreement.
<br />5. Rocondilloning: Rebuilding or majoroveftauls are notcovered by this Agreement. ln addilion, when in its sole
<br />dlscretion CNW det€rmines lhat a reconditioning is necessary, as a result o[expected \,teat and tear ofmalerials
<br />and age facto6caused by normal otfice environment usage, i! order to keep lie equipr€nt in working condiilon,
<br />CNW will subrnlt to the Customer an eslimale of needed repai.s and lheir cosilvhich will be in addilion lo lhe charge
<br />payable underlllis Agreement. lftie Customerdoes notaulhorize such reconditioning, CNW may disconlinue
<br />sewlce oflhe eguipmsnt under this Agreement (refunding lhe unused portion oflhe maintenance charge) ormay
<br />refuse to renew lhis Agreement upon its expiralion. The{eafter, the CNW representalive may make service available
<br />on a "Per Call" basis al lhe published rates in elfect at the lime ofseryice.
<br />6. Uso ot CNW Suppllss: lf lho Customer uses olher lhan CNW supplies and if such supplies are delecl.ivs or
<br />unacceptabte lor use ir CNW machines and cause abnormally frequenl servicecalls or service problems, then CNW
<br />may, at ils oplion, assess a surcharge or terminate tiis Agreement. ln lhis event, lhecuslomermay be offered
<br />service on a'PerCall'basis based upon published rates. lt is not a condilion oflhis Agr€emenl, however, hat lhe
<br />Cuslomer use only CIW aulhorized supplies.
<br />7, Supply lncluslve Contracts: lfsuppties are included in the service provided underlhis Agr€emenl, CNWwill
<br />supply toner, ink and developer. The agreementdoes notincluds consumable supply items such as paper and
<br />rtaples. All nomal print yields are bas€d on an '8 % x 1 1'sheet wilh 5% texlcov€{age' lf the CustomBrs usage of
<br />supplies exceeds he rormal yields lor lhe equipment being serviced, cNW will invohe and he cuslomeragrees to
<br />pay, for the excess supplies atCNW'S cunentrehil prices in elfect. CNW teservss lhe Jight lo charge for supplies,
<br />feight, handling, and tuel. Upon termination orcancelation ola suppliss inclusive conltacl cuslomer mustr€lurn
<br />any unused supply ilems provided by CNW under this Agteemenl
<br />8. DCA: Customer agre€s to install Dah Colleclion Agent (DCA) ofl lhek network to ptovide CNW wilh meter reads,
<br />low toner alerts lotauto.ship toner, and enorcodes, l[Customor does not install lhe DCA' CNW will accept lhe
<br />Customer self-reprling meters and lonet roquesb via lhe E info website (email Supplies@copiersnw-com for a
<br />'ogin).
<br />lf Cuslomer does notinslall a DCA orutilize E-into, Customer agrees to pay CNW a fee b manually ptocess
<br />meter submissions, toner replonishmenl, and service calls (email, phone, faxl, including but nol limited to CNW
<br />eslimating the fiEter usage based on indusry standards per model.
<br />9, Elec{rical: ln ordet t0 insura oplimum performance by lhe CNW equipmenl, it is mandaw liatspecifrc modeh
<br />b€ plugged inlo a dedicated line, which mustcomply wilh manufacturerelectical specificatons. These po/'rer
<br />shndards are required by manufaclurer specilicafions.
<br />10. Cha€es: The initial non,refundable charge for maintenance under lhb Agreement shall bo lhe amount set fotlh
<br />on lhe reverseside oflhis Ag,eemenl The annual mainlenance chargewilh respecito any renewal term, or s€cond
<br />or third term ola multi.lenn agreemenl will be tl€ charge in eff€ct at the time ofrenewal. CNW resewes liodght to
<br />increase lhe Bas€ Charge snd Overage Charge ofliis agreement upon renewal or annually for a mulli-year
<br />agreement. Cuslomer shall pay all charges within '15 days oF invoice dale. Customer agrees to pay ell court costs
<br />and any reasonable attorneys fees required by CNW to colleclpayment0n lhis agreement. Intetesl will bs charg€d
<br />al 1 % o/o perm0nh on any unpaid balance. CNW resewes lhe right towilhhold servico or cancel tiis Agt€orn€ntif

<br />l2.EventofOelaullandTormination: TheoccurrenceoflhetollowingshallconslituleanEvenloFDelaullthe
<br />customer fails to pay any porti0n ot lhe charges for mainlenanco as providod under the Agreementwhen due or
<br />Cuslomer fails to duly porfom any covenanl, condilions, or term oflhis Agreemenl. Upon lhe EventofDefault, CNW
<br />may; (i) refuse t0 servic€ the equipmenl, (il) furnish service on c.o.D. "Per call' basis based upon published lates in
<br />elfect ailie lime ofservice; (iil) terminate lhis Agreement Wihin 60 days ofthe expiration or terminalion oflhis
<br />Agreement, CNW shall submit to Customer an itemized invoice for any fees orerpense$, including any PeI Call fees,
<br />lleretofore accrued under $is Agreemenl ln lhe eventcuslomer terminat€s priol lo lho expiralion oflhe curent term
<br />of lhis agr€ementwithoul cause, or in lhe evenl CNW terminates this agteerEnt prior to lhe end of the lerm due to
<br />customer,s material breach, cNW will bill and customerwill be responsible to pay an early teminalion charge as

<br />13, lndemnlty; customer shall indernniry, save and hold cNW, ils alliliales, oflicers, dircclors, shareholderg
<br />employee$, ag$ts and represenlalives and lheir successors and assigns harmless trom and against any liability, toss,
<br />cosl expense ordamage whalsoevercaus€d by reason ofany brcach of this Agreement by Customel or by leason of
<br />any injury whether to body, property, business, character or reputalion $ustained by CNW Parlies or to anyolher
<br />person by reason ofany act, neglecl,omission ordefault by Customer. Customer shall dofend any aclion to which this
<br />indemnity shall apply. ln lhe eventCuslomer fails h defend such aclion CNW may do so and recover from Customer in
<br />addition, a[ costs and expenses, including, wilhoutlimitation, atlorneys fees and disbursemenh, incuned by cNW in
<br />connscton !^dlh actions laken by CNW or ils repr€ssntafves (l) lo enforce any provision of this Agreement; (ll) to alfect
<br />any paymenh or c0lteclion6 provid€d tor hereini (lll) to inslilule, mainlain, preserye enlorce, and foreclose 0n CNW'S
<br />security inler€stin or lien on lhe goods, wielher through iudicial proceedings or olhe$iisei or (lV) lo defend or
<br />prosecuts any goceedings erislng outofor relating to any eNWfansscllons nilh Cusbmer.Theforegoilg provisions
<br />oflhis Paragraph shall survlve lhe termination or expiration of lhis Agreement.
<br />14. Full Agr€em€nt: This Agreemenl along wilh all schedulos, attachmenls, and supporting docurnenls, conslilules
<br />lhe enlire agreement betwe€n lhe parties perlaining to lIe subjectmalter hereof and supersedes all prior agteements,
<br />understandings, negotialions and discussions, whether oral or wiuon, oflhe parlies, and may nol be added to,
<br />modilied, stJpplemenled orwaived in any\,t/ay except in lYriting signed by bolh padies (olher lhan pricing changes
<br />provided for hsrein).
<br />15. Succossors and Assigns; Tsrmination: This Agreemsnt shall bo binding on he parlies hereto, heir heirs,
<br />successors, and asslgns. However, Customer may not assign this Agreement without lhe consentof CNW.
<br />'l0.SeparabililyofProvislons: Eachprovis'onoflhisAgreementshallbeconsidercdseparable,and,iFforany
<br />reason any provision hal.is notessental to lhe eflecluation oflhe basic purposss oflhis Agreement is determined to
<br />be invalid and cdlrary to any existing or future law, such invalidiv shall not impak lhe operation ofor aflect lhose
<br />provisions of lltis Agreemenl lhat are valid.
<br />17. Counterpads and Facsimlle Slgnatures: This Agreementmay be executed in several counterparts, each ofv{hich
<br />shall be d€emed lo be an original and all ofwhich logolisr shall consfilute ono Agreementbindingon all p3rlles hereto,
<br />notwitbstanding hat all the parlies have notsigned lhe same counterpart. A laled, emailed, orelecfonic signature of
<br />this Agreement bealing aulhoriz€d signatures may be Iteated as en original.
<br />'18, WAIVER OF JURY TRIAL: ALL PARTIES HERETO HEREBY IRREVoCABLY WAIVE (a) THE RIGHT TO TRIAI
<br />BY JURY; AND (b) THE RIGHT Io INTERPOSE ANY ANo ALL CoUNTERCLAIMS lN ANY ACTIoN, PRoCEEDING
<br />OR CLAIM ARISING OUT OF OR PERTAINING TO THIS AGREEMENT.
<br />,|9. Jurlsdlction: All parlies hereby consent and voluntarily submit to personal iurisdiction in lhe State ofWashington

<br />20. Hold HarmlEss: ln no event shall cNW be liable for any damages whalsoever, including t$tiout limihfon,

<br />21. Forcs Majeuro: CNW shall not be liable to customer for any failure or delay cause by events beyond cNWs
<br />conbol, including, wilhoul limitalion, Customer's railure lo furnish necessary infomalion; sabotage; failure oI delays in
<br />fansporlation orcommunication; boycoth; embargoes; lailuresorsubs$tulions ofequipmenl; labor dispules; accidents;
<br />shortages oflabor, luel, rawmaterials, machinery, or equipmenl; technical failules; fte; sbtm; flood; €arlhquake;
<br />oxplosion; aclsotthe public en€my: war insuneclion; riot public disorder; epidemic; quarantne,estrictbns; acls of
<br />God; acts ofany govemlrEntor any quasi-governtrEntal auliodty, insbumontally or ag€rEy.
<br />22. NO WARMNTY: CNW DISCLAIMS ALL WARRANTTES, EXPRESS 0R IMPLIED INCLUDING ANY IMPLIED
<br />WARRANTIES OF MERCHANTABILITY, TECHNICAL COMPATABILITY, FITNESS FOR USE, OR FITNESS FOR A
<br />PARTICULAR PURPOSE. CUSTOMER AGREES THAT CNW IS NOT RESPONSIBLE FOR DIRECT. INCIDENTAT
<br />OR CONSEOUENTIAL DAMAGES INCLUDING, BUT NOT LIMITED TO, THE LOSS OF USE OF THE EOUIPMENT.
<br />23. lnsurancs: Customer shall obtain and mainlain, at ils own exp€nse, insu6nce relating to claims for iniury and/or
<br />property dama$ (including commercial general liability insurance) based on its 8se oflhe equipment, goods and
<br />machinery.
