ATTACHMENT'D" GENERAT TERMS AND CONDITIONS 1. Soooe pf Contractoy's Services: Contractor agr€es to provide to the County services as set forth in Attachment 'W. No materials, labor, or faclllties wlll be furnlshed by the County, unless otherwise pnovided herein. All work performed under this Agreement shall comply wlth appllcable laws and regulations. 2.@CompensatlontocontractorforseruicesrenderedunderthlsAgreement shall be as set forth ln Attachment "8". Where Attachment "B'r requlres payment(sl by the County, payment shall he based upon bllllngs, supported unless provlded othenvise in Attachment oB", by documentatlon of prescriptlons actually delfuered mlnus lnsurance or thlrd-party payor responslbllltles. Unles speclflcally stated in Attachment "8", the County wlll not relmburse Contractor for any costs or expenses lncurred by Contractor ln performance of this Agreement. Where required, the County shalL upon receipt of appropriate documentation, compensate Contractor, no more often than monthly, through the.County voucher system, for Contractor's servicespursuanttothefeeschedulesetforthlnAttachment"Bn. lntheeventContractorfailstoperformanyof its obligations under this Agreement within the time speclfled hereln, then the County may wlthhold all monles due and payable to hntractor untll such failure to perform ls cured or otherwise adjudicated. The County will not process payment for services rendered under thls Agreement until Contractor suhmits a completed W-9 (See Attachment "E"). 3. Taxes: Contractor understands and acknowledges that the County wlll not withhold Federal or State lncome taxes from payments made to Contractor. Where requlred by State or Federal law, Contractor authorlzes theCountytomakewlthholdingforanytaxesotherthanincometaxes(e,g.,Medlcare!. Allcornpensatlonrecelved by Contractor wlll be reported to the lnternal Revenue Service at the end of the calendaryear ln accordance wlth appllcable IRS regulations. lt ls the responslbllity of C.ontractor to make its necessary estlmated tax payments throughout the year, lf any, and Contractor is solely llable for any tax obligatlon arislng from Contractor's performance of thls Agreement. The County will pay sales and use taxes lmposed on goods or servlces acquired hereunder as required by law. Contractor must pay all othertaxes,lncluding but not llmited to: buslness and occupation tax; ortaxes based on (11 Contractorrs gross or net income, or (2) personal property to whlch the County does not hold tltle. The County ls exempt from federal excise tax, 4, lndependent Contractor: Contractorrs services shall be furnished by Contractor as an independent contractor, and nothlng stated hereln shall be construed to create a relatlonshlp of employer-employee or a guarantee of future employment. Contractor acknowledges that lts entlre compensatlon under thls Agreement ls specified in Attachment "8", and that Contractor ls not entltled to any County benefits, includlng but not llmlted to: vacatlon pay, holiday pay, slck leave pay, medical, dentaf or other lnsurance beneflts, or any other rights or prlvlleges bfforded to Klttltas County employees. 5. Assignment and Subcontractln{: This Agrcement may not be asslgned or subcontracted in whole or ln part without the express prlor wrltten approval of the County. 6. Rlfht to Rovlow Malntenanco of Reoordq: Thls Agrcement is subJect to revlew by any Federal or State auditor. The County or lts deslgnee shall have the rlght to review and monltor the financlal and servlce components of the work performed under thls Agreement by whatever rneans are deemed expedient by the County. Such revlew may occur with or wlthout notlce, and may include, wlthout llmltatlon, on-slte inspection, lnspectlon of all records or other materlals whlch the County deems pertinent, and any and all communicatlons with or evaluatlon by service recipients under this Agreement.
