7.2 <br />7.3 <br />7.4 <br />8.1 <br />8.2 <br />Washington Entorprlse Providor Agr€em6nt pCS <br />@20.24 July - Wellpoht WashlrEton, lnc, <br />Neootiation of Di$putes. ln the event of a dispute arising out of this Agreoment that is not resolved by, or is <br />not within the scope of relationship managemont set forth in the Agreement, or thal is not resolved by iriformal <br />discussions among the parties, the parties shall negotlate the dlspute. Any party may initiate negotiation by <br />sendlng a written description of the dispute to the other parties by certified or reglstered mail or personal <br />pelivery. The descripilon shall explaln tho nature of the dispute in detail and set forth a proposed resolution, <br />lncluding a speciflc time frame within which the parties musl act, The party recelving lhe letler must respond <br />in writing within thirty (30) days with a detailed explanation of its position and a response to the propbsed <br />resoli-rlion, Wilhin thirty (30) days of the initiating party receiving this response, principals of the party who <br />have authority to seftle the dispute will meet to discuss the resolutlon of the dlspute. The lnltiating iarly shall <br />initiate the scheduling of this negotiatlng sossion. <br />7,2.1 ln the event the parties are unable to resolve the dispute following the negotiation, a party shall have <br />the right to pursue all available remedios at law or oquity, including injunctive relief. <br />- <br />Qlsoute Resolutlon. Except as_exprossly permitted under Regulatory Requirements or regulations governing <br />dispute resolution, no process forthe resolution of disputes arlsing out of a participating provider contract shall <br />be considerod falr under RCW 48.43.055 unless the process meets all the provisions of WAC 2s4-17O-M0. <br />7.3.1 A dlspute resolution process may include an initial informal process but must include a formal process <br />for resolution of all contract disputes. <br />7,3'2 Wellpoint may have different types of dispute resolution processes as necessary for specialized <br />concerns such as provider credentialing oras otherwise requlred by law. For example, disputes over <br />Government Program coverago of Covered Services are subject to the grlovance procodures <br />ostablished for Members, <br />7.3.3 Wellpoint must allow not less than thirty (30) days after the action giving rise to a dispute for providers <br />to complain and lnitiate the dispute resolution process. <br />7.3'4 Wellpoint T?y not require alternative dispute resolutlon to the exclusion of judlcial remedies; <br />however, Wellpoint may require altemative dispute resolution prior to judicial rem6dies, <br />7.3.5 Wollpoint must render a decision on provider complaints within a reasonable tlme for the type of <br />dispute. ln the case of billing dlsputes, Wellpoint must render a decision within sixty (60) days"of the <br />complaint. <br />Period,of ,l.imitatiols. Unless otherwise provided for in this Agreement or a PartlcipaUon Attachment(s), neither <br />party shall commence any aclion at law or equity against the other to recover on any legal or equitbbb dajm <br />arising out of this Agreement ('Action") more than six (6) years after the events whichgave rise to such Action; <br />provided, however, this six (6) year limitation shall not apply to Actions by Wellpoint against Provider related <br />to fraud, waste or abuse which shall be subject to the period of limitations set forth in applicable Regulatory <br />Requirements. ln the sltuation where Provider believes that Wellpolnt underpaid a Clain:r, the Actio-n arisei <br />on the date when Wellpoint first denies the Claim or first pays the Claim in an amount less than expec'ted by <br />Provider. ln the sltuation where Wellpoint bolieves that lt overpaid a Claim, the Action arises when Frovider <br />first contests in writing Wellpoint's notice to lt that the overpayment was made. The deadllne for initiating an <br />Action shall not be tolled by the appeal process, provider dispute resolution process or any other administr;tive <br />process. To the extent an Actlon is timely commenced, it wlll be admlnlslered in accordance with Article Vll <br />of this Agreement, <br />ARTICLE VIII <br />TERM AND TERMINATION <br />Term of Agreement.
