8.3 8.4 Breach.of Aqreement. Except for circumstances glving rise to the lmmedlate Termination sectlon, if either party fails to comply with or perform when due any material term or condition of this Agreement, the other party shall notlflt the breaching party of its breach in witing stating the speciftc nature of ihe material broach, and the breaching party shalt have thirty (30) days to cure the breach. lf the breach is not cured to the reasonable satisfaction of the non-breaching party wlthin said thirty (30) day period, the non-breaching party may terminate this Agreement by providing written notiee of such termination to the other party. The effective date of such termination shall be no sooner than sixty (60) days after such notice of terminati6n. lmmQdiate Termlnqtion. 8.4.1 This Agreement or any Participation Attachment{s) may be terminated lmmediately by Wellpoint if: 8.4.1.1 Provider commits any act or conducl for which hls/her/its license(s), permit(s), or any governmental or board authorizatlon(s) or approval(s) necessary for business oporationil or to provide Health Services are lost or voluntarily surrendered in whole or ln part; or Provlder commlts fraud or makes any material mlsstatements or oml$sions on any documents related to this Agreement which Provlder submits to Wellpoint or to a third party; or Provlder files a petition ln bankruptcy for liquidation or reorganization by or against Provlder, if Provider becomes insolvent, or makes an assignment for the benefit-of its creditors wlthout Wellpoints wrltten consent, or if a receivor is appolnted for Provlder or its property; or Provlder's insurance coverage as required by this Agreement lapses for any reason; or Provider fails to maintain cornpliance with Plan's appllcable credentialing requirements, accreditation requlrements or standards of participation; or Wellpoint reasonably believes based on ProvideCs conduct or lnaction, or allegatlons of such conduct or inaction, that the well-being of patlents may be jeopardized; or Provider has been abusjve to a Member, a Wellpoint employee or representative; or Provider and/or hls/her/lts employees, contractors, subcontractors, or agents are ineligible, excluded, suspended, terminated or debarred from participating in a Government Program, and in the case of an employee, contractor, subcontractor or agent, Providerfails to remove such individual from responsibility for, or involvementwith, the Provlder'e business operations related to this Agreement, or if Provider has voluntarlly withdrawn his/her/its participation in any Government Program as the rcsult of a seftlemenl agreement; or Provider is convicted or has been finally adjudicated to have committed a felony or mlsdemeanor, other than a non-DUl related traflic viotation. 8.4.1.2 8.4.1.3 8.4.1.4 8.4.1.5 8.4,1.6 8.4.1.7 8.4.1.8 8.4.1.9 8.5 Washlngton Eilterprls€ Plovide.Agreement PCS @ 2OA July - Wellpdnt Washln0ton, lnc- 8.4.2 This Agreement may be terminated immediately by Provider lf: 8.4.2.1 Wellpoint commits any act or conduct for which lts llcense{s), permit(s), 0r any governmental or board authorization(s) or approval(s) necessary for busjness operations are lost or voluntarily surrendered in whole or in part; or 8.4.2.2 Wellpoint files for bankruptcy, or if a receiver is appointed, Partial Terminatipn of Participatinq Providerg. Wellpoint shall be entifled to terminate this Agreement as it applies to one or a number of Participating Providers under the terms of this Article Vlll, wlthout terminating tho Agreement in its entirety, and in such case, the Agreement shall continue in full force and effect in connection with Provider and/or any and all Participating Provlders as to which tho Agreement has not been terminated. Notwithstanding the foregoing, Wellpoint reserves the right to termlnate Participating Provider(s) from_ any or all Network(s) underthe terms of this Article Vlll while continuing the Agreement for the remaininj Participating Provider(s). 1 18393215610 06/05/202s
