C. Subcontracting: The Contractor may onLy subcontract work contemptated under <br />this agreement if it obtains the priorwritten approval of the County. lf the County <br />approves subcontracting, the Contractor shal.l, maintain written procedures related <br />to subcontracting, as weLt as copies of atl subcontracts and records related to <br />subcontracts. For cause, the County in writing may: <br />a- require the Contractorto amend its subcontracting procedures as they <br />relate to this agreemenU <br />b. prohibit the Contractor from subcontracting with a particular person or <br />entity;or <br />c. require the Contractor to rescind or amend a subcontract. <br />Every subcontract shatt bind the Subcontractor to follow atl. appticabte terms of this <br />agreement. The Contractor is responsibte to the County if the Subcontractor fails to <br />compl.y with any appticabte term or condition of this agreement. The Contractor <br />shatt appropriatety monitor the activities of the Subcontractor to assure fiscal <br />conditions of this agreement. ln no event shatt the existence of a subcontract <br />operate to retease or reduce the Liabitity of the Contractor to the County for any <br />breach in the performance of the Subcontractor's duties. <br />Every subcontract shatt incl.ude a term that County is not Liabl.e for claims or <br />damages arisingfrom a Subcontractor's performance of the subcontract. <br />D. Reporting Timeframe and Form: The Contractor shatl provide a report each August <br />using the reporting forms found in Exhibit A of this Amendment, which shatt replace <br />att previousty required reporting. The reports wil.l. be submitted to the clerk of the <br />Homelessness and Affordabte Housing Committee at <br />heatthandhunrarLservicer@cs.-klttita$.!va--us-for the foLtowing time periods: <br />a. January 2025 - )uLy 2Q25, due no tater than August 15,2A25 <br />b. August 2A25 - )uly 2O26, due no later than August 15,2026 <br />c.
