it nor its successor will have any adequate remedy at law and, therefore, the non -breaching <br />party, and/or its successor, is entitled to injunctive relief in addition to any other available <br />remedies. This section shall survive this Agreement's termination. <br />The parties shall ensure that their respective employees, agents, and contractors are aware <br />of and shall comply with the aforementioned obligations. <br />7. Indemnification <br />Each party shall be responsible for its own negligent acts or omissions and those of its officers, <br />employees, and agents to the extent allowed by law. Nothing in this Agreement shall be construed <br />to waive any immunity or defense available to either party. <br />8.Insurance <br />CHCW shall maintain the following minimum insurance coverages: <br />• General Liability: $1,000,000 per occurrence / $2,000,000 aggregate <br />• Professional Liability (Malpractice): $1,000,000 per occurrence <br />• Workers' Compensation as required by law <br />Certificates of insurance shall be provided to the County upon request. <br />9. Termination <br />This Agreement may be terminated: <br />For Convenience: By either party with sixty (60) days written notice. <br />For Cause: Either party may immediately terminate this Agreement upon the occurrence <br />of any of the following: <br />a. A party's violation of law or regulation pertinent to this Agreement. <br />b. Any act or conduct for which any of a party's licenses, certifications or accreditation <br />necessary to provide the contracted services may be revoked or suspended, or for <br />which a party's ability to provide contracted services in accordance with this <br />Agreement is otherwise materially impaired. <br />c. A party's misrepresentation or fraud. <br />d. A party's failure to maintain insurance in accordance with this Agreement. <br />e. A party's material breach of any term of this Agreement, including a failure to <br />comply with jail security rules or healthcare standards, subject to a thirty (30) day <br />opportunity to cure and a failure to cure by the end of the thirty (30) day period. <br />10. Independent Contractor <br />CHCW is an independent contractor. Nothing in this Agreement shall be construed to create a <br />partnership, joint venture, or employer -employee relationship between the parties. <br />11.
