Aaglgnmerlt.and$u.hcsntracling: No portion of this Agreement may be assigned or subcontracted to any other individuat' firm or entitywithoutthe express and priorwritten approval of the county' The contractor may onl.y subcontract work contempl'ated under this agreement if it obtains the prior written approval of the County' lf the county approves subcontracting, the contractor shail maintain written procedures retated to SUbcontracting, as weLtas copies of atl' subcontracts and records retated to subcontracts. For cauSe, the County in writing may require the Contractor to amend its subcontracting procedures as they rel,ate to this agreement, prohibit the Contractor f rom subcontracting with a particul,ar person or entity, or require the Contractor to rescind or amend a subcontract. Every subcontract ShatL bind the Subcontractor to fotiow att appticabte terms of this agreement. The Contractor is responsibLe to the County if the Subcontractor faits to compl.ywith any appl,icabLe term or condition of this agreement' The contractor shatl appropriatety monitor the activities of the subcontractor to assure f iscat conditions of this agreement. ln no event shal,t the existence of a subcontract operate to retease or reduce the tiabil.ity of the Contractor to the County for any breach in the performance of the Subcontractor's duties. Every SUbcontract shal.t inctude a term that County is not l'iabte for ctaims or damages arising from a subcontractor's pedormance of the subcontract. 7 . Lnde.p-e nd.en Le*a-n-tr'aqtp-r : The Contractor,s services shaLl. be furnished by the Contractor as an independent Contractor and nothing herein contained shatl, be construed to create a retationship of employer- employee or master-servant, but all' payments made hereunder and al'L services performed shatt be made and performed pursuant to this Agreement by the contractor as an independe nt Contractor. The contractor acknowl.edges that the entire compensation for this Agreement is specified in Exhibit,,B,, and the contractor is not entitted to any county benefits incLuding, but not timited to: vacation pay, hoLida y pay,sick Leave pay, medicat, dentat, or other insurance benefits' or anyotherrightsorprivil'egesaffordedtoKittitasCountyemployees. Contractor wiLl. defend, indemnify and hotd harmless the County' its AdditionaI lnsured's' officers, agents or emptoyees from any loss or expense, incl'uding but not Limited to settlements, judgments, Setoffs, attorneys' fees or Costs incurred by reason of ctaims or demands because of breach of the provisions of this paragraph' 8 .
