ALscARCHITECTS <br />Compensation and Terms <br />ALSC Architects P.S.and our consultant team will perform the tasks described above for <br />a lump sum of $984,973.00.Our detailed fee calculation based on OEM guidelines <br />(Attachment B)is attached.In addition,an allowance of $20000.00 is recommended for <br />reimbursable expenses for travel and per diem costs. <br />ALSC will provide monthly invoices based on the percentage of the work completed. <br />Payments will be due within 30 days of receipt of invoice.Late payments will incur an <br />interest charge of 1.0%per month. <br />Exclusions and Additional Services <br />The scope of work shall include the tasks outlined above and in the attachments.Slight <br />deviations in scope may be included within the proposed fee.Tasks or deliverables not <br />included in the information above are not included in the proposed fee.Additional services <br />beyond those included in the proposal are available for an additional fee calculated on an <br />hourly basis utilizing the hourly rates in the attached Hourly Rates (Attachment A).Additional <br />services will not be performed without prior written approval from Kittitas County <br />representatives.Kittitas County will provide a geotechnical report for the construction site as <br />well as an ALTA site survey. <br />Reimbursable Expenses <br />Expenses and services not directly provided by ALSC will be invoiced at one and 10/1 00 <br />(1.10)times actual cost.Reimbursable expenses include travel,per diem,printing of <br />documents)and expedited delivery service.It is assumed that Kittitas County will pay directly <br />for all permitting costs and printing costs associated with the permitting,bidding,and <br />construction phases of the project. <br />Termination <br />Either party may terminate the agreement for convenience after seven (7)days of written <br />notice of intent to terminate.The Client shall be responsible for all costs and charges incurred <br />up to the termination date,including reasonable expenses for ALSC to close the work and <br />organize files.ALSC agrees not to charge for lost or anticipated profits on the work not <br />completed and will provide .pdf copies of work files to Kittitas County upon receipt of final <br />payment. <br />2025-009 —Ellensburg Rodeo Arena completion Project —2025-02-12
