2025 DISTRESSED COUNTY $ALES AND USE TA)( INFRASTRUGTURE <br />IMPROVEMENT PROGRAM AGREEMENT <br />BETWEEN KITTITAS COUNTY AND I(TTITAS COUNTY CHAMBER OF <br />COMMERCE <br />This Contract, dated fnmfuV t8 . 2oz5 is made and entered into by and <br />between KITTITAS COUNTY ('Coung"), a suMivision of the State of Washington, and <br />TOWN OF SOUTH CLE ELUM ("Funding Recipienf). <br />WHEREAS, the purpose of this Agreement is to provlde for publlc faclllty <br />construction and foster economic development opportunities within Kitlitas County; <br />NOW THEREFORE, in consideratlon of the terrns and conditlons sontained herein, <br />or attached and incorpor:ated and made a part hereof, the County and the Funding <br />Reclpient mutually agree as follows: <br />$ectlon 1.9cope of Work. <br />a. Funding Reciplent shall provlde the services and staff described in its Scope of <br />Work for the Townwide Watsr Main Replacement Profect as Outlined in eaid <br />Task Order with the Town of South Cle Elum'e Consultant (HLA Englneering <br />and Land Surveylng, lnc,) submitted to the Council of Govemments, as Exhibit <br />nA" which is attacfied hereto and incorporated hereln by lhis reference. <br />b. Except as otherwlse specifically provided in thls Agreement, Fundlng Reclplent shall <br />fumish the following as required to perform ttre servicss, described in Paragnaph (a) <br />above, in accordance with this Agreement Personnel, labor and supeMsion; <br />technlcal, professlonal, and other services. All such oewices, property and other <br />items fumlshed or required to be fumished, together with all other obllga0ons <br />performed, or required to be performed, by Funding Reoipient under this Agreement <br />are collectlvely refened to herein as'Services.' <br />Sectlon Z..PavmenL <br />a, As fullcompensation for satlsfactory performanoe of the Furding Reclplent Services, <br />the County agreoe to pay Funding Reclplent a sum not to exceed one milllon dollars <br />($l,ooo,ooo.oo). <br />b, Addltional payment terms: The County wlll make payment to tlp Fundlng Reciplent <br />only on a relmbursement basis, as recelpts for any ltems including marketlng andlor <br />advertislng are submltted to tho County. <br />c.
