occurrence of an event of default by the County under the Financing <br />Lease, to reenter and relet all or any portion of the Property and to remove <br />all persons, including the Association, then in occupancy thereof. <br />21. AMENDMENT/TERMINATION: This Agreement may be amended or <br />terminated in writing at any time upon the mutual Agreement of both Parties. <br />22. GENERAL CONDITIONS: The Association agrees to appoint one or more <br />representatives who will be the contact person in all dealings with grounds management and staff <br />during the term of the event. That person shall be available during normal operating hours and at <br />other times as requested by the County. <br />23. REMOVAL OF TEMPORARY STRUCTURES: With the exception of the East <br />end bleachers in the arena, the Association shall remove temporary structures from the leased <br />space immediately after the close of occupancy, or secure written permission to further hold <br />space and later remove temporary structures. <br />24. ACTIVITIES AND ADVERTISING: The Association shall keep all activities and <br />proprietary advertising matters within the leased premises. Both the Association and the Kittitas <br />County Fair Board receive considerations from various advertisers and sponsors which require <br />signs and other advertising materials to be placed within their respective venues, including the <br />leased premises. The Parties hereto agree that they will respect each other's territory and shall <br />consult with one another if any advertising materials are placed in such a manner as to <br />potentially interfere with or encroach on the activities of the other during the annual Labor Day <br />Weekend events. <br />The County also considers various advertisers and sponsors which require signage and <br />other advertising materials involving the Kittitas Valley Event Center and its year-round <br />operations. The Association is not responsible nor required to extend advertising and other <br />benefits within those sponsorship Agreements, and the County will not encumber the <br />Association to do so, unless a mutual partnership Agreement is agreed upon. <br />The County shall not enter into sponsorship Agreements that would encumber the <br />Association or otherwise conflict with the Association's existing advertising and sponsorship <br />programs. This includes naming, branding, or otherwise identifying the grounds or structures <br />included in this Agreement. The Association may pursue additional review and written comment <br />if they believe a proposed sponsorship agreement would encumber the Association or otherwise <br />conflict with the Association's existing advertising and sponsorship programs using the process <br />defined below: <br />i) The County shall notify the Association in writing of a proposed sponsorship <br />agreement to solicit formal review and written comment. <br />ii) The Association shall respond in writing to the Kittitas Valley Event Center Director <br />or designee within 45 days of initial notification of a proposed sponsorship agreement <br />indicating formal review has been completed and providing written comment, if <br />necessary. Failure to respond withing 45 days shall be considered approval of the <br />proposed agreement by the Association. <br />Ellensburg Rodeo Association Contract January 1, 2025 through December 31, 2034 <br />
