EXHIBIT "A" SCOPE OF WORK Pursuant to the terms of this Professional Services Agreement, Contractor shall provide services and all material and labor performing the following. The terms agree to as part of those negotiations shall be then embodied, in written form, as an amendment to this Exhibit "A." Scope 1: BEAD grant application assistance Tasks: Develop framework for successful application A. Financial capability: Helping determine and meet qualifications for BEAD obligations, including letter of credit requirements and obtaining fund match from the State i. Helping collate 2 years worth of audited financial statements (Lightcurve or provider) ii. Helping create a business plan and related analysis of the proposed project's sustainability, including pro forma statements, and at least three years' worth of operating costs and cash flow projections after the project's targeted completion (Lightcurve or provider) 1. Business plan will include: marketing plan, specific information about ACP and affordable options, pricing plans that commit to not raising rates, customer service plan, customer complaint process, network monitoring and outage reporting procedures, staffing, location, disaster continuity plan, consumer support plans for equity & inclusion, and network standards (Lightcurve or provider) B. Managerial capability: Helping determine and meet qualifications for BEAD obligations, including submitting managerial resumes, organizational charts, risk assessment form (found in appendix of Vol II), narrative describing readiness to manage a broadband service network, and other managerial capability requirements as required by the forthcoming WSBO NOFO. i. Kittitas County will need to gather these resources, list federal projects the entity has managed contracts and money. Record of successful audits etc. ii. Lightcurve or provider will need to submit to public entity org chart of company and financial ability to run a successful business operating network. C. Technical capability: Help submit certification to WSBO on technical qualifications, including a "skilled and credentialed workforce" (BEAD NOFO). This area also includes network design, network diagram, project costs, build -out timeline, and milestones for implementation. Will also include: i. Capital investment schedule for complete build -out and initiation of new service within 4 years of build date ii. If applicable, fixed wireless to also include details of network design, backhaul availability, timelines for backhaul construction, specify spectrum used and documentation of applicable licensure.
