DocuSignEnvelopeID:BF50DFCO-2E68-460F-9CDB-06DO4707CD3DTermination.NoguaranteeofworkismadeorimpliedasaresultofthisContract:merelysigningthiscontractdoesnotguaranteetheContractoranyspecificamountofpayment.WSCJTCmayterminatethisContractbyprovidingwrittennoticetotheContractor.Terminationshallbeeffectiveonthedatespecifiedintheterminationnotice.WSCJTCshallbeliableforonlyauthorizedservicesprovidedonorbeforethedateoftermination.Assignment.TheContractormaynotassignthisContract,oritsrightsorobligationstoathirdparty.Confidentiality.TheContractorshallnotdiscloseanyinformationWSCJTCdesignatesconfidential.ThiscontractandtheContractor'sproposal,ifany,becomethepropertyoftheWSCJTC,subjecttothePublicRecordsActRCW42.56.Disputes.Ifadisputearisesunderthiscontract,itshallberesolvedbyaDisputeBoard.TheWSCJTCExecutiveDirectorandtheContractorshalleachappointamembertotheBoard.TheExecutiveDirectoroftheWSCJTCandtheContractorshalljointlyappointathirdmembertotheDisputeBoard.TheBoardshallevaluatethedisputeandresolveit.TheBoard'sdeterminationshallbefinalandbindingtoallpartiestothisContract.Indemnity.ContractoragreestoholdharmlessWSCJTCforanyclaimarisingoutofperformanceorfailuretoperformthecontract,withoutregardtoactualorallegednegligencebyStateemployees.GoverningLaw.ThisContractshallbegovernedbythelawsofWashington.ThejurisdictionforanyactionhereundershallbetheSuperiorCoudfortheStateofWashington.ThevenueofanyactionhereundershallbeintheSuperiorCourtforThurstonCounty,StateofWashington.IndependentCapacity.ThepartiesmutuallyconfirmthattheContractorisanindependentcontractor,andnotanemployeeoragentoftheWSCJTCortheStateofWashington.TheContractorshallnotclaimtobenorportrayitselfasanemployeeoragentofWSCJTCortheStateofWashington.RightsinData.MaterialcreatedfromthisContractshallbe"worksforhire"asdefinedbytheU.S.CopyrightActof1976andshallbeownedbyWSCJTC,includingbutnotlimitedtoreports,documents,videos,curricularmaterial,examsorrecordings.SuchmaterialsaresubjecttoRCW42.56,thePublicRecordsAct;WSCJTCmaydisclosesuchdocumentsinaccordancewiththePRA.Severability.IfanyprovisionofthisContractoranyprovisionofanydocumentincorporatedbyreferenceshallbeheldinvalid,suchinvalidityshallnotaffecttheotherprovisionsofthisContractwhichcanbegiveneffectwithouttheinvalidprovision,ifsuchremainderconformstotherequirementsofapplicablelawandthefundamentalpurposeofthisContract,andtothisendtheprovisionsofthisContractaredeclaredtobeseverable.SAFETYandConduct.WhileonWSCJTC'spremises,theContractorshallobeyallphysical,fireorothersecurityregulationscommunicatedtotheContractorbyWSCJTC.TheContractor-anditssubcontractorsandemployeesifauthorizedabove-shall,duringtheperformanceofthiscontract:•maintainaprofessionalappearance,groomingandhygiene,•notengageinconductwhichimpedeseffectivetraining,and•notpossessorcometoworkundertheinfluenceofalcoholordrugswhichimpairsafetyandperformance,whetherlegalorillegal.Operations.ToprotectthehealthandsafetyofthestaffandstudentsoftheWSCJTC,contractinstructorsarerequiredtosubmittoinfectiousdiseasetestingwhendirectedtodosobytheWSCJTC.ContractorsmustreporttheresultstoWSCJTC'sconfidentialappointee.Contractinstructorsagreetofollowthehealthandsafetyprotocolsputinplacebytheagencypreandpost-test.Shouldcontractinstructorsnotwishtofollowoperationaldirectives,theywillbeimmediatelyreleasedfromtheircontractualobligation.HealthandSafety.Toprotectthehealthandintegrityoftheorganization,contractinstructorsunderstandthatWSCJTCmaintainscontroloveritsoperationsandagreestosubmittodirectionsandprotocolsputinplaceinordertocarryoutitsmission.Shouldcontractinstructorsnotwishtofollowoperationaldirectives,theywillbeimmediatelyreleasedfromtheircontractualobligation.Waiver.AfailurebytheWSCJTCtoexerciseitsrightsunderthiscontractshallnotprecludeWSCJTCfromsubsequentexerciseofsuchrightsandshallnotconstituteawaiverofanyrightsunderthiscontractunlessstatedtobesuchinwritingandsignedbyanauthorizedrepresentativeofWSCJTCandattachedtotheoriginalcontract.
