theSubrecipienttodelivertotheDepartmentanypropertyspecificallyproducedoracquiredforthepedormanceofsuchpartofthisAgreementashasbeenterminated.Iftheterminationisforconvenience,theDepartmentshallpaytotheSubrecipientasanagreeduponprice,ifseparatelystated,forproperlyauthorizedandcompletedworkandservicesrenderedorgoodsdeliveredtoandacceptedbytheDepartmentpriortotheeffectivedateofAgreementtermination,theamountagreeduponbytheSubrecipientandtheDepadmentfor(i)completedworkandservicesand/orequipmentorsuppliesprovidedforwhichnoseparatepriceisstated,(ii)partiallycompletedworkandservicesand/orequipmentorsuppliesprovidedwhichareacceptedbytheDepartment,(iii)otherwork,servicesand/orequipmentorsupplieswhichareacceptedbytheDepartment,and(iv)theprotectionandpreservationofproperty.Failuretoagreewithsuchamountsshallbeadisputewithinthemeaningofthe"Disputes"clauseofthisAgreement.Iftheterminationisforcause,theDepadmentshalldeterminetheextentoftheliabilityoftheDepadment.TheDepadmentshallhavenootherobligationtotheSubrecipientfortermination.TheDepartmentmaywithholdfromanyamountsduetheSubrecipientsuchsumastheDepartmentdeterminestobenecessarytoprotecttheDepadmentagainstpotentiallossorliability.TherightsandremediesoftheDepartmentprovidedinthisAgreementshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.Afterreceiptofanoticeoftermination,andexceptasotherwisedirectedbytheDepartmentinwriting,theSubrecipientshall:a.StopworkundertheAgreementonthedate,andtotheextentspecified,inthenotice;b.Placenofurtherordersorcontractsformaterials,services,supplies,equipmentand/orfacilitiesinrelationtothisAgreementexceptasmaybenecessaryforcompletionofsuchpodionoftheworkundertheAgreementasisnotterminated;c.AssigntotheDepartment,inthemanner,atthetimes,andtotheextentdirectedbytheDepartment,alloftherights,title,andinterestoftheSubrecipientundertheordersandcontractssoterminated,inwhichcasetheDepartmenthastheright,atitsdiscretion,tosettleorpayanyorallclaimsarisingoutoftheterminationofsuchordersandcontracts;d.Settlealloutstandingliabilitiesandallclaimsarisingoutofsuchterminationofordersandcontracts,withtheapprovalorratificationoftheDepartmenttotheextenttheDepadmentmayrequire,whichapprovalorratificationshallbefinalforallthepurposesofthisclause;e.TransfertitletotheDepartmentanddeliverinthemanner,atthetimes,andtotheextentdirectedbytheDepartmentanypropertywhich,iftheAgreementhadbeencompleted,wouldhavebeenrequiredtobefurnishedtotheDepartment;f.CompleteperformanceofsuchpadoftheworkasshallnothavebeenterminatedbytheDepadmentincompliancewithallcontractualrequirements;andg.Takesuchactionasmaybenecessary,orastheDepartmentmayrequire,fortheprotectionandpreservationofthepropertyrelatedtothisAgreementwhichisinthepossessionoftheSubrecipientandinwhichtheDepartmenthasormayacquireaninterest.A.35MINORITYANDWOMEN-OWNEDBUSINESSENTERPRISESInaccordancewiththelegislativefindingsandpoliciessetfodhinChapter39.19RCW,theStateofWashingtonencouragesparticipationinallitscontractsbyMWBEfirmscedifiedbytheOfficeofMinorityandWomen'sBusinessEnterprises(OMWBE).Totheextentpossible,theSubrecipientwillsolicitandencourageminority-ownedandwomen-ownedbusinessenterpriseswhoarecedifiedbytheOMWBEunderthestateofWashingtoncertificationprogramtoapplyandcompeteforworkunderthiscontract.VoluntarynumericalMWBEparticipationgoalshavebeenestablished,andareindicatedherein:MinorityBusinessEnterprises:(MBE's):10%andWoman'sBusinessEnterprises(WBE's):6%.A.36VENUEThisAgreementshallbeconstruedandenforcedinaccordancewith,andthevalidityandperformanceshallbegovernedby,thelawsofthestateofWashington.VenueofanysuitbetweenthepaniesarisingoutofthisAgreementshallbetheSuperiorCourtofThurstonCounty,Washington.TheSubrecipient,byexecutionofthisAgreement,acknowledgesthejurisdictionofthecoudsofthestateofWashington.DHS-FEMA-HSGP-SHSP-FY22Page21of44KittitasCounty,E23-116
