expensesofanyotherkindfortheSubrecipientoritsstaffrequiredbystatuteorregulationthatareapplicabletoAgreementperformance.A.31TERMINATIONFORCONVENIENCENotwithstandinganyprovisionsofthisAgreement,theSubrecipientmayterminatethisAgreementbyprovidingwrittennoticeofsuchterminationtotheDepadmentKeyPersonnelidentifiedintheAgreement,specifyingtheeffectivedatethereof,atleastthirty(30)dayspriortosuchdate.ExceptasothePNISeprovidedinthisAgreement,theDepadment,initssolediscretionandinthebestinterestsofthestateofWashington,mayterminatethisAgreementinwholeorinpartten(10)businessdaysafteremailingnoticetotheSubrecipient.Uponnoticeofterminationforconvenience,theDepadmentreservestherighttosuspendallorpadoftheAgreement,withholdfudherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffunds.Intheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw.TherightsandremediesoftheDepartmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.A.32TERMINATIONORSUSPENSIONFORLOSSOFFUNDINGTheDepadmentmayunilaterallyterminateorsuspendallorpartofthisGrantAgreement,ormayreduceitsscopeofworkandbudget,ifthereisareductioninfundsbythesourceofthosefunds,andifsuchfundsarethebasisforthisGrantAgreement.TheDepartmentwillemailtheSubrecipientten(10)businessdayspriortotermination.A.33TERMINATIONORSUSPENSIONFORCAUSEIntheeventtheDepartment,initssolediscretion,determinestheSubrecipienthasfailedtofulfillinatimelyandpropermanneritsobligationsunderthisAgreement,isinanunsoundfinancialconditionsoastoendangerperformancehereunder,isinviolationofanylawsorregulationsthatrendertheSubrecipientunabletoperformanyaspectoftheAgreement,orhasviolatedanyofthecovenants,agreementsorstipulationsofthisAgreement,theDepadmenthastherighttoimmediatelysuspendorterminatethisAgreementinwholeorinpart.TheDepartmentmaynotifytheSubrecipientinwritingoftheneedtotakecorrectiveactionandprovideaperiodoftimeinwhichtocure.TheDepartmentisnotrequiredtoallowtheSubrecipientanoppodunitytocureifitisnotfeasibleasdeterminedsolelywithintheDepartment'sdiscretion.AnytimeallowedforcureshallnotdiminishoreliminatetheSubrecipient'sliabilityfordamagesorothePNiSeaffectanyotherremediesavailabletotheDepartment.IftheDepartmentallowstheSubrecipientanopportunitytocure,theDepartmentshallnotifytheSubrecipientinwritingoftheneedtotakecorrectiveaction.Ifthecorrectiveactionisnottakenwithinten(10)calendardaysorasothePNisespecifiedbytheDepartment,orifsuchcorrectiveactionisdeemedbytheDepartmenttobeinsufficient,theAgreementmaybeterminatedinwholeorinpart.TheDepartmentreservestherighttosuspendallorpartoftheAgreement,withholdfurtherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffundsduringinvestigationoftheallegedcompliancebreach,pendingcorrectiveactionbytheSubrecipient,ifallowed,orpendingadecisionbytheDepadmenttoterminatetheAgreementinwholeorinpad.Intheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw,including,butnotlimitedto,anycostdifferencebetweentheoriginalAgreementandthereplacementorcoverAgreementandalladministrativecostsdirectlyrelatedtothereplacementAgreement,e.g.,costofadministeringthecompetitivesolicitationprocess,mailing,advertisingandotherassociatedstafftime.TherightsandremediesoftheDepartmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.IfitisdeterminedthattheSubrecipient:(1)wasnotindefaultormaterialbreach,or(2)failuretoperformwasoutsideoftheSubrecipient'scontrol,faultornegligence,theterminationshallbedeemedtobeaterminationforconvenience.A.34TERMINATIONPROCEDURESInadditiontotheproœduressetforthbelow,iftheDepartmentterminatesthisAgreement,theSubrecipientshallfollowanyproceduresspecifiedintheterminationnotice.UponterminationofthisAgreementandinadditiontoanyotherrightsprovidedinthisAgreement,theDepartmentmayrequireDHS-FEMA-HSGP-SHSP-FY22Page20of44KittitasCounty,E23-116
