iftheterminationisforconvenience,theDepartmentshallpaytotheSubrecipientasanagreeduponprice,ifseparatelystated,forproperlyauthorizedandcompletedworkandservicesrenderedorgoodsdeliveredtoandacceptedbytheDepartmentpriortotheeffectivedateofAgreementtermination,theamountagreeduponbytheSubrecipientandtheDepartmentfor(i)completedworkandservicesand/orequipmentorsuppliesprovidedforwhichnoseparatepriceisstated,(ii)partiallycompletedworkandservicesand/orequipmentorsuppliesprovidedwhichareacceptedbytheDepartment,(iii)otherwork,servicesand/orequipmentorsupplieswhichareacceptedbytheDepartment,and(iv)theprotectionandpreservationofproperty.Failuretoagreewithsuchamountsshallbeadisputewithinthemeaningofthe"Disputes"clauseofthisAgreement,iftheterminationisforcause,theDepartmentshalldeterminetheextentoftheliabilityoftheDepadment.TheDepadmentshallhavenootherobligationtotheSubrecipientfortermination.TheDepartmentmaywithholdfromanyamountsduetheSubrecipientsuchsumastheDepadmentdeterminestobenecessarytoprotecttheDepartmentagainstpotentiallossorliability.TherightsandremediesoftheDepartmentprovidedinthisAgreementshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.Afterreceiptofanoticeoftermination,andexceptasotherwisedirectedbytheDepadmentinwriting,theSubrecipientshall:a.StopworkundertheAgreementonthedate,andtotheextentspecified,inthenotice,b.Placenofurtherordersorcontractsformaterials,services,supplies,equipmentand/orfacilitiesinrelationtothisAgreementexceptasmaybenecessaryforcompletionofsuchportionoftheworkundertheAgreementasisnotterminated;c.AssigntotheDepartment,inthemanner,atthetimes,andtotheextentdirectedbytheDepadment,alloftherights,title,andinterestoftheSubrecipientundertheordersandcontractssoterminated,inwhichcasetheDepadmenthastheright,atitsdiscretion,tosettleorpayanyorallclaimsarisingoutoftheterminationofsuchordersandcontracts;d.Settlealloutstandingliabilitiesandallclaimsarisingoutofsuchterminationofordersandcontracts,withtheapprovalorratificationoftheDepadmenttotheextenttheDepartmentmayrequire,whichapprovalorratificationshallbefinalforallthepurposesofthisclause;e.TransfertitletotheDepartmentanddeliverinthemanner,atthetimes,andtotheextentdirectedbytheDepartmentanypropertywhich,iftheAgreementhadbeencompleted,wouldhavebeenrequiredtobefurnishedtotheDepartment;f.CompleteperformanceofsuchpadoftheworkasshallnothavebeenterminatedbytheDepartmentincompliancewithallcontractualrequirements;andg.Takesuchactionasmaybenecessary,orastheDepartmentmayrequire,fortheprotectionandpreservationofthepropedyrelatedtothisAgreementwhichisinthepossessionoftheSubrecipientandinwhichtheDepartmenthasormayacquireaninterest.A.35MINORITYANDWOMEN-OWNEDBUSINESSENTERPRISESInaccordancewiththelegislativefindingsandpoliciessetforthinChapter39.19RCW,theStateofWashingtonencouragesparticipationinallitscontractsbyMWBEfirmscertifiedbytheOfficeofMinorityandWomen'sBusinessEnterprises(OMWBE).Totheextentpossible,theSubrecipientwillsolicitandencourageminority-ownedandwomen-ownedbusinessenterpriseswhoarecertifiedbytheOMWBEunderthestateofWashingtoncertificationprogramtoapplyandcompeteforworkunderthiscontract.VoluntarynumericalMWBEparticipationgoalshavebeenestablished,andareindicatedherein:MinorityBusinessEnterprises:(MBE's):10%andWoman'sBusinessEnterprises(WBE's):6%.A.36VENUEThisAgreementshallbeconstruedandenforcedinaccordancewith,andthevalidityandperformanceshallbegovernedby,thelawsofthestateofWashington.VenueofanysuitbetweenthepadiesarisingoutofthisAgreementshallbetheSuperiorCourtofThurstonCounty,Washington.TheSubrecipient,byexecutionofthisAgreement,acknowledgesthejurisdictionofthecoudsofthestateofWashington.DHS-FEMA-EMPG-FY22Page21of39Kitt.tasCounty,E23-184
