expensesofanyotherkindfortheSubrecipientoritsstaffrequiredbystatuteorregulationthatareapplicabletoAgreementperformance.A.31TERMINATIONFORCONVENIENCENotwithstandinganyprovisionsofthisAgreement,theSubrecipientmayterminatethisAgreementbyprovidingwrittennoticeofsuchterminationtotheDepartmentKeyPersonnelidentifiedintheAgreement,specifyingtheeffectivedatethereof,atleastthirty(30)dayspriortosuchdate.ExceptasotherwiseprovidedinthisAgreement,theDepartment,initssolediscretionandinthebestinterestsofthestateofWashington,mayterminatethisAgreementinwholeorinpadten(10)businessdaysafteremailingnotice.Uponnoticeofterminationforconvenience,theDepartmentreservestherighttosuspendallorpartoftheAgreement,withholdfudherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffunds.Intheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw.TherightsandremediesoftheDepartmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.A.32TERMINATIONORSUSPENSIONFORLOSSOFFUNDINGTheDepartmentmayunilaterallyterminateorsuspendallorpartofthisGrantAgreement,ormayreduceitsscopeofworkandbudget,ifthereisareductioninfundsbythesourceofthosefunds,andifsuchfundsarethebasisforthisGrantAgreement.TheDepartmentwillemailtheSubrecipientten(10)businessdayspriortotermination.A.33TERMINATIONORSUSPENSIONFORCAUSEIntheeventtheDepartment,initssolediscretion,determinestheSubrecipienthasfailedtofulfillinatimelyandpropermanneritsobligationsunderthisAgreement,isinanunsoundfinancialconditionsoastoendangerpedormancehereunder,isinviolationofanylawsorregulationsthatrendertheSubrecipientunabletoperformanyaspectoftheAgreement,orhasviolatedanyofthecovenants,agreementsorstipulationsofthisAgreement,theDepartmenthastherighttoimmediatelysuspendorterminatethisAgreementinwholeorinpart.TheDepartmentmaynotifytheSubrecipientinwritingoftheneedtotakecorrectiveactionandprovideaperiodoftimeinwhichtocure.TheDepartmentisnotrequiredtoallowtheSubrecipientanopportunitytocureifitisnotfeasibleasdeterminedsolelywithintheDepartment'sdiscretion.AnytimeallowedforcureshallnotdiminishoreliminatetheSubrecipient'sliabilityfordamagesorotherwiseaffectanyotherremediesavailabletotheDepartment.IftheDepartmentallowstheSubrecipientanoppodunitytocure,theDepadmentshallnotifytheSubrecipientinwritingoftheneedtotakecorrectiveaction.Ifthecorrectiveactionisnottakenwithinten(10)calendardaysorasotherwisespecifiedbytheDepartment,orifsuchcorrectiveactionisdeemedbytheDepartmenttobeinsufficient,theAgreementmaybeterminatedinwholeorinpad.TheDepartmentreservestherighttosuspendallorpadoftheAgreement,withholdfurtherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffundsduringinvestigationoftheallegedcompliancebreach,pendingcorrectiveactionbytheSubrecipient,ifallowed,orpendingadecisionbytheDepartmenttoterminatetheAgreementinwholeorinpaltIntheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw,including,butnotlimitedto,anycostdifferencebetweentheoriginalAgreementandthereplacementorcoverAgreementandalladministrativecostsdirectlyrelatedtothereplacementAgreement,e.g.,costofadministeringthecompetitivesolicitationprocess,mailing,advedisingandotherassociatedstafftime.TherightsandremediesoftheDepaltmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.IfitisdeterminedthattheSubrecipient:(1)wasnotindefaultormaterialbreach,or(2)failuretoperformwasoutsideoftheSubrecipient'scontrol,faultornegligence,theterminationshallbedeemedtobeaterminationforconvenience.A.34TERMINATIONPROCEDURESInadditiontotheproceduressetfodhbelow,iftheDepartmentterminatesthisAgreement,theSubrecipientshallfollowanyproceduresspecifiedintheterminationnotice.UponterminationofthisAgreementandinadditiontoanyotherrightsprovidedinthisAgreement,theDepartmentmayrequiretheSubrecipienttodelivertotheDepartmentanypropertyspecificallyproducedoracquiredfortheperformanceofsuchpartofthisAgreementashasbeenterminated.DHS-FEMA-EMPG-FY22Page20of39KittitasCounty,E23-184
