ofrecaptureshallexistforthelifeoftheprojectfollowingAgreementtermination.RepaymentbytheSubrecipientoffundsunderthisrecaptureprovisionshalloccurwithin30daysofdemand.IntheeventtheDepartmentisrequiredtoinstitutelegalproceedingstoenforcetherecaptureprovision,theDepadmentshallbeentitledtoitscostsandexpensesthereof,includingattorneyfeesfromtheSubrecipient.A.25RECORDSa.TheSubrecipientagreestomaintainallbooks,records,documents,receipts,invoicesandallotherelectronicorwrittenrecordsnecessarytosufficientlyandproperlyreflecttheSubrecipient'scontracts,subawards,grantadministration,andpayments,includingalldirectandindirectcharges,andexpendituresinthepedormanceofthisAgreement(the"records").b.TheSubrecipient'srecordsrelatedtothisAgreementandtheprojectsfundedmaybeinspectedandauditedbytheDepartmentoritsdesignee,bytheOfficeoftheStateAuditor,DHS,FEMAortheirdesignees,bytheComptrollerGeneraloftheUnitedStatesoritsdesignees,orbyotherstateorfederalofficialsauthorizedbylaw,forthepurposesofdeterminingcompliancebytheSubrecipientwiththetermsofthisAgreementandtodeterminetheappropriateleveloffundingtobepaidundertheAgreement.c.TherecordsshallbemadeavailablebytheSubrecipientforsuchinspectionandaudit,togetherwithsuitablespaceforsuchpurpose,atanyandalltimesduringtheSubrecipient'snormalworkingday.d.TheSubrecipientshallretainandallowaccesstoallrecordsrelatedtothisAgreementandthefundedproject(s)foraperiodofatleastsix(6)yearsfollowingfinalpaymentandclosureofthegrantunderthisAgreement.Despitetheminimumfederalretentionrequirementofthree(3)years,themorestringentStaterequirementofsix(6)yearsmustbefollowed.A.26RESPONSIBILITYFORPROJECT/STATEMENTOFWORKlWORKPLANWhiletheDepadmentundertakestoassisttheSubrecipientwiththeproject/statementofwork/workplan(project)byprovidingfederalawardfundspursuanttothisAgreement,theprojectitselfremainsthesoleresponsibilityoftheSubrecipient.TheDepartmentundertakesnoresponsibilitytotheSubrecipient,ortoanythirdparty,otherthanasisexpresslysetoutinthisAgreement.Theresponsibilityforthedesign,development,construction,implementation,operationandmaintenanceoftheproject,asthesephrasesareapplicabletothisproject,issolelythatoftheSubrecipient,asisresponsibilityforanyclaimorsuitofanynaturebyanythirdpartyrelatedinanywaytotheproject.Priortothestartofanyconstructionactivity,theSubrecipientshallensurethatallapplicablefederal,state,andlocalpermitsandclearancesareobtained,including,butnotlimitedto,FEMAcompliancewiththeNationalEnvironmentalPolicyAct,theNationalHistoricPreservationAct,theEndangeredSpeciesAct,andallotherenvironmentallaws,regulations,andexecutiveorders.TheSubrecipientshalldefend,atitsowncost,anyandallclaimsorsuitsatlaworinequity,whichmaybebroughtagainsttheSubrecipientinconnectionwiththeproject.TheSubrecipientshallnotlooktotheDepadment,ortoanystateorfederalagency,ortoanyoftheiremployeesoragents,foranypedormance,assistance,oranypaymentorindemnity,including,butnotlimitedto,costofdefenseand/orattorneys'fees,inconnectionwithanyclaimorlawsuitbroughtbyanythirdpanyrelatedtoanydesign,development,construction,implementation,operationand/ormaintenanceofaproject.A.27SEVERABILITYIfanycoudofrightfuljurisdictionholdsanyprovisionorconditionunderthisAgreementoritsapplicationtoanypersonorcircumstancesinvalid,thisinvaliditydoesnotaffectotherprovisions,termsorconditionsoftheAgreement,whichcanbegiveneffectwithouttheinvalidprovision.Tothisend,thetermsandconditionsofthisAgreementaredeclaredseverable.A.28SINGLEAUDITACTREQUIREMENTS(includinqallAMENDMENTS)TheSubrecipientshallcomplywithandincludethefollowingauditrequirementsinanysubawards.Non-federalentities,asSubrecipientsofafederalaward,thatexpend$750,000ormoreinonefiscalyearoffederalfundsfromallsources,directandindirect,arerequiredtohaveasingleoraprogram-specificauditconductedinaccordancewith2CFRPad200SubpartF.Non-federalentitiesthatspendlessthan$750,000ayearinfederalawardsareexemptfromfederalauditrequirementsforthatyear,exceptasnotedin2CFRPart200SubpartF.Asdefinedin2CFRPart200,theterm"non-federalentity"DHS-FEMA-EMPG-FY22Page18of39KittitasCounty.E23-184
