A.5ASSURANCESTheDepanmentandSubrecipientagreethatallactivitypursuanttothisAgreementwillbeinaccordancewithalltheapplicablecurrentfederal,stateandlocallaws,rulesandregulations.A.6CERTIFICATIONREGARDINGDEBARMENT.SUSPENSION,ORINELIGIBILITYAsfederalfundsareabasisforthisAgreement,theSubrecipientcertifiesthattheSubrecipientisnotpresentlydebarred,suspended,proposedfordebarment,declaredineligible,orvoluntarilyexcludedfromparticipatinginthisAgreementbyanyfederaldepadmentoragency.TheSubrecipientshallcomplete,sign,andretumaCertificationRegardingDebarrnent,Suspension,Inelígibílíty,andVoluntaryExclusionformlocatedathttps://mil.wa.gov/requiredqrantforms.AnysuchformcompletedbytheSubrecipientforthisAgreementshallbeincorporatedintothisAgreementbyreference.Further,theSubrecipientagreestocomplywithallapplicablefederalregulationsconcerningthefederaldebarmentandsuspensionsystem,including2CFRPart180.TheSubrecipientcedifiesthatitwillensurethatpotentialcontractorsorsubrecipientsoranyoftheirprincipalsarenotdebarred,suspended,proposedfordebarment,declaredineligible,orvoluntarilyexcludedfrompadicipationin"coveredtransactions"byanyfederaldepartmentoragency."Coveredtransactions"includeprocurementcontractsforgoodsorservicesawardedunderanon-procurementtransaction(e.g.grantorcooperativeagreement)thatareexpectedtoequalorexceed$25,000,andsubawardstoSubrecipientsforanyamount.Withrespecttocoveredtransactions,theSubrecipientmaycomplywiththisprovisionbyobtainingacertificationstatementfromthepotentialcontractororsubrecipientorbycheckingtheSystemforAwardManagement(https://sam.qov/SAM/)maintainedbythefederalgovernment.TheSubrecipientalsoagreesnottoenterintoanyarrangementsorcontractswithanypartyontheWashingtonStateDepartmentofLaborandIndustries'"DebarredContractorList"(https://secure.Ini.wa.gov/debarandstrike/ContractorDebarList.aspx}.TheSubrecipientalsoagreesnottoenterintoanyagreementsorcontractsforthepurchaseofgoodsandsenliceswithanypartyontheDepadmentofEnterpriseServices'DebarredVendorList(https://www.des.wa.qov/services/contracting-purchasing/doing-business4tatelvender-debarmentìA.7CERTIFICATIONREGARDINGRESTRICTIONSONLOBBYlNGAsrequiredby44CFRPart18,theSubrecipientherebycertifiesthattothebestofitsknowledgeandbelief:(1)nofederallyappropriatedfundshavebeenpaidorwillbepaidbyoronbehalfoftheSubrecipienttoanypersonforinfluencingorattemptingtoinfluenceanofficeroremployeeofanagency,aMemberofCongress,anofficeroremployeeofCongress,oranemployeeofaMemberofCongressinconnectionwiththeawardingofanyfederalcontract,themakingofanyfederalgrant,themakingofanyfederalloan,theenteringintoofanycooperativeagreement,andtheextension,continuation,renewal,amendment,ormodificationofanyfederalcontract,grant,loan,orcooperativeagreement;(2)thatifanyfundsotherthanfederalappropriatedfundshavebeenpaidorwillbepaidtoanypersonforinfluencingorattemptingtoinfluenceanofficeroremployeeofanyagency,aMemberofCongress,anofficeroremployeeofCongress,oranemployeeofaMemberofCongressinconnectionwiththisAgreement,grant,loan,orcooperativeagreement,theSubrecipientwillcompleteandsubmitStandardForm-LLL,"DisclosureForrntoReportLobbying,"inaccordancewithitsinstructions;(3)andthat,asapplicable,theSubrecipientwillrequirethatthelanguageofthiscertificationbeincludedintheawarddocumentsforallsubawardsatalltiers(includingsubcontracts,subgrants,andcontractsundergrants,loans,andcooperativeagreements)andthatallSubrecipientsshallcertifyanddiscloseaccordingly.Thiscertificationisamaterialrepresentationoffactuponwhichreliancewasplacedwhenthistransactionwasmadeorenteredintoandisaprerequisiteformakingorenteringintothistransactionimposedby31U.S.C.1352.A.8COMPLIANCEWITHAPPLICABLESTATUTES,RULESANDDEPARTMENTPOLICIESTheSubrecipientandallitscontractorsandsubrecipientsshallcomplywith,andtheDepartmentisnotresponsiblefordeterminingcompliancewith,anyandallapplicablefederal,state,andlocallaws,regulations,executiveorders,OMBCirculars,and/orpolicies.Thisobligationincludes,butisnotlimitedto:nondiscriminationlawsand/orpolicies,EnergyPolicyandConservationAct(PL94-163,asamended),theAmericanswithDisabilitiesAct(ADA),AgeDiscriminationActof1975,TitleVIoftheCivilRightsActof1964,CivilRightsActof1968,theRobertT.StaffordDisasterReliefandEmergencyAssistanceAct,(PL93-288,asamended),EthicsinPublicService(RCW42.52),CovenantAgainstContingentFees(48CFRSection52.203-5),PublicRecordsAct(RCW42.56),PrevailingWagesonPublicWorks(RCW39.12),StateEnvironmentalPolicyAct(RCW43.21C),ShorelineManagementActof1971(RCW90.58),DHS-FEMA-EMPG-FY22Page12of39KittitasCounty,E23-184
