DISPUTESIntheeventthatadisputearisesunderthisagreement,itwillbedeterminedbyaDisputeBoardinthefollowingmanner:EachpartytothisagreementappointsonemembertotheDisputeBoard.ThememberssoappointedjointlyappointanadditionalmembertotheDisputeBoard.TheDisputeBoardreviewsthefacts,contractterms,andapplicablestatutesandrulesandmakeadeterminationofthedispute.ThedeterminationoftheDisputeBoardisfinalandbindingonthepartieshereto.GOVERNANCEThisAgreementisenteredintopursuanttoandundertheauthoritygrantedbythelawsofthestateofWashingtonandanyapplicablefederallaws.Theprovisionsofthisagreementmustbeconstruedtoconformtothoselaws.IntheeventofaninconsistencyinthetermsofthisAgreement,orbetweenitstermsandanyapplicablestatuteorrule,theinconsistencymustberesolvedbygivingpreædenceinthefollowingorder:a.Applicablestateandfederalstatutesandrules;b.SummaryStatement;andc.Anyotherprovisionsoftheagreement,includingmaterialsincorporatedbyreference.ASSIGNMENTTheworktobeprovidedunderthisagreement,andanyclaimarisingthereunder,isnotassignableordelegablebyeitherpartyinwholeorinpart,withouttheexpresspriorwrittenconsentoftheotherparty,whichconsentmaynotbeunreasonablywithheld.WAIVERAfailurebyeitherpanytoexerciseitsrightsunderthisagreementdoesnotprecludethatpartyfromsubsequentexerciseofsuchrightsanddoesnotconstituteawaiverofanyotherrightsunderthisagreementunlessstatedtobesuch,inwriting,signedbyanauthorizedrepresentativeoftheparty,andattachedtotheoriginalagreement.Updated10/28/2020Page3of24
