RECORDSMAINTENANCEThepadiestothisagreementshalleachmaintainbooks,records,documentsandotherevidencethatsufficientlyandproperlyreflectalldirectandindirectcostsexpendedbyeitherpanyinthepedormanceoftheservicesdescribedherein.Theserecordsaresubjecttoinspection,review,orauditbypersonnelofbothparties,otherpersonneldulyauthorizedbyeitherparty,theOfficeoftheStateAuditor,andfederalofficialssoauthorizedbylaw.Allbooks,records,documents,andothermaterialrelevanttothisagreementmustberetainedforsixyearsafterexpiration,andtheOfficeoftheStateAuditor,federalauditors,andanypersonsdulyauthorizedbythepartiesmusthavefullaccessandtherighttoexamineanyofthesematerialsduringthisperiod.Recordsandotherdocuments,inanymedium,furnishedbyonepanytothisagreementtotheotherparty,willremainthepropedyofthefurnishingpany,unlessotherwiseagreed.Eachpanyshallutilizereasonablesecurityproceduresandprotectionstoassurethatrecordsanddocumentsprovidedbytheotherpanyarenoterroneouslydisclosedtothirdparties.INDEPENDENTCAPACITYTheemployeesoragentsofeachpartywhoareengagedintheperformanceofthisagreementwillcontinuetobeemployeesoragentsofthatpanyandwillnotbeconsideredforanypurposetobeemployeesoragentsoftheotherpany.AGREEMENTALTERATIONSANDAMENDMENTSThisagreementmaybeamendedbymutualagreementoftheparties.Suchamendmentsarenotbindingunlesstheyareinwriting.INDEMNIFICATIONEachpartyisresponsiblefortheactionsandinactionsofitselfanditsownofficers,employees,andagentsactingwithinthescopeoftheirauthority.TERMINATIONFORCAUSEIfSTATEPARKSdeterminesthatAGENCYisnotincompliancewiththeminimumrequirementsofthisagreement,theStateParksMarineLawEnforcementCoordinatorwillnotifyAGENCYinwritingofthedeficiency.AGENCYwillhavefody-fivedaysfollowingreceiptofthenoticeofdeficiencytosubmitaplansatisfactorytoSTATEPARKStoremedythedeficiency.If,afterfody-fivedays,AGENCYhasnotsubmittedaplantoSTATEPARKSforremedyingthedeficiencyorisunabletodemonstrateitsabilitytomeetminimumrequirements,STATEPARKSwillhavetheoptiontoterminatethisagreement.IfAGENCYdisagreeswithSTATEPARKS'decisiontocancelthisagreement,AGENCYmayseekahearingperchapter34.05RCW,theAdministrativeProcedureActtocontestthisdecision.Updated10/28/2020Page2of24
