Single Audit Act Compliance <br />If the Contractor is a Subrecipient and expends $750,000 or more in federal awards from any <br />and/or all sources in any fiscal year, the Contractor will procure and pay for a single audit or a <br />program -specific audit for that fiscal year. Upon completion of each audit, the Contractor will: <br />9.2.1 Submit to the Authority contact person the data collection form and reporting <br />package specified in OMB Super Circular 2 CFR 200.501 and 45 CFR 75.501, <br />reports required by the program -specific audit guide (if applicable), and a copy of <br />any management letters issued by the auditor; and <br />9.2.2. Follow-up and develop corrective action for all audit findings; in accordance with <br />OMB Super Circular 2 CFR 200.501 and 45 CFR 75.501, prepare a "Summary <br />Schedule of Prior Audit Findings." <br />9.3. Overpayments <br />9.3.1. If it is determined by HCA, or during the course of a required audit, that Contractor <br />has been paid unallowable costs under this or any Program Agreement, Contractor <br />will refund the full amount to HCA as provided in Section 6, Overpayments to <br />Contractor. <br />10. ASSIGNMENT <br />The work to be provided under this Agreement, and any claim arising thereunder, is not assignable <br />or delegable by either party in whole or in part, without the express prior written consent of the <br />other party, which consent will not be unreasonably withheld. <br />11. CONTRACT MANAGEMENT <br />The Contract Manager for each of the parties, named on the face of this Contract, will be <br />responsible for and will be the contact person for all communications and billings regarding the <br />performance of this Agreement. Either party must notify the other party within thirty (30) days of <br />change of Contract Management. Changes in Contract Management shall require an amendment. <br />12.
