3.ThlsAgreementshallbeacovenantrunningwiththelandandbebindingontheDeveloper,itssuccessors,heirsandassignsandshallbebindingonthelegalownersofallpropertieswithintheBenefitBoundaryandthelrsuccessors,heirsandassigns,4.Exceptasotherwiseprovidedherein,Ownerreleasesandagreestodefend,indemnifyandholdharmlesstheCityandallofitselectedandappolntedofficialsanditsemployeesfromallliability,claimsandcostsarisinginconnectionwiththeenforcementofthisAgreement,excepttotheextentresultirigfromanygrossnegligenceorintentionalactoromissionoftheCityoritsofficers,agentsoremployeesinperformanceoftheAgreement.5.VenueandjurisdictiontoenforceallobligationsunderthisLatecomerAgreementshalllieintheKittitagCountySuperiorCourbTheobligationsofthepartieshereundermaynothavean.adequäteremedybywayofanactionfordamagesandmaybeenforcedbyanactionforspecificperformance.6.Intheeventa.courtofcompetentjurisdictiondeclaresanymaterialprovisionofthisLateconherAgreementinvalid;unconstitutional,orotherwiseunenforceable,anypartymayelecttoterminatetherernainderofthisAgreement.Intheeventanon-materialprovisionofthisLatecomerAgreementisdeclaredInvalid,unconstitutional,orotherwiseunenforceable,suchprovlsionshereofasarenotaffectedbysuchdeclarationshallremaininfullforceandeffect.7.ThlsLatecomerAgreementmaybemodifledonlybywritteninstrumentdulyexecutedbyallpartiesafterapprovatoftheEllensburgCityCouncil.INWlTNESSWHEREOF,thepartieshavehereuntosettheirhandsandofficialsealsthedayandyearfirstabovewritten.CITYOFELENSBURGCityApproveastoform:CityAttorneyLatecomerAgreementforReimbursement-Page6of7
