TotheextentthatanyinformationobtainedbytheContractorisrequiredtobesharedwithorprovidedtoothersbythetermsoftheStatementoftheWork,thisprovisionisnotbreachedbysuchacts.25.Notice:ExceptassetforthelsewhereintheAgreement,forallpurposesunderthisAgreement,exceptserviceofprocess,noticeshallbegivenbytheContractortothedepartmentheadofthedepartmentforwhomservicesarerendered,andtotheKittitasCountyCommissioners,205W5thAve,Suite108,Ellensburg,WA98926.NoticetotheContractorforallpurposesunderthisAgreementshallbegiventotheaddressreflectedonthesignaturepage.NoticemaybegivenbydeliveryorbydepositingintheU.S.Mail,firstclass,postageprepaid.26.Severability:IfanytermorconditionofthisAgreementortheapplicationthereoftoanyperson(s)orcircumstancesisheldinvalid,suchinvalidityshallnotaffectotherterms,conditionsorapplicationswhichcanbegiveneffectwithouttheinvalidterm,conditionorapplication.Tothisend,thetermsandconditionsofthisAgreementaredeclaredseverable.27.Miscellaneous:27.1TheCounty'sfailureordelaytoinsistuponstrictperformanceofanyoftheprovisionsofthisAgreementortoexerciseanyrightsorremediesunderthisAgreementshallnotbeconstruedasawaiverorrelinquishmenttoanyextentofitsrighttoassertorrelyuponanysuchprovisions,rightsorremediesinthatoranyotherinstance;ratherthesameshallbeandremaininfullforceandeffect.27.2ThisAgreementembodiestheentireAgreementbetweentheCountyandContractor,andsupersedesanyandallprioragreements,regardingtheWork.Nochange,amendmentormodificationofanyprovisionsofthisAgreementshallbevalidunlesssetforthinawritteninstrumentsignedbythepartytobeboundthereby.27.3TherightsandremediesoftheCountysetforthinanyprovisionofthisAgreementareinadditiontoanddonotinanywaylimitanyotherrightsofremediesaffordedtotheCountybyanyotherprovisionsofthisAgreement,byanyofContractor'sSupportorbylaw.27.4TheheadingsofsectionsandparagraphsofthisAgreementareforconvenienceofreferenceonlyandarenotintendedtorestrict,affectorbeofanyweightintheinterpretationorconstructionoftheprovisionsofsuchsectionsorparagraphs.28.Waiver:WaiverofanybreachorconditionofthisAgreementshallnotbedeemedawaiverofanypriororsubsequentbreach.NotermsorconditionsofthisAgreementshallbeheldtobeProfessionalServicesAgreement(rev.09/24/2018)Page10of19
