DOH CONTRACT #: CLH3l0l5 After receipt of a written notice of termination, the LHJ sha[: ' Stop work under the Contract on the date and to the extent specified in the notice;o Place no further orders or subcontracts for materials, services, or facilities, except as necessary to complete suchportion of the work not terminated;I Assign to DoH, to the extent reasonably directed by DoH's contracting officer and to the extent that the LHJhas.the legal right to do so, all of the right, title, and inlerest of the LHJ under the orders and subcontracts inwhich case DoH has the right, at its reaionable discretion, to settle or pay any or all claims arising out of thetermination of such orders and subcontracts.r Settle all outstanding liabilities *l ilt claims_ arising out of orders or subcontracts, with the approval orratification of DoH's contracting officer to the extJrt he/she may ."uronulry require, which approval orratification shalr be final for all the purposes ofthis clause;o Transfer title to DoH and deliver, as reasonably directed by DoH s contracting officer, any property which, ifthe Contract had been completed, would have been t"qrir"o to be fumished to;oH;o complete performance of such part of the work not terminated by DoH,s contracting officer; and,r Take such action as may be necessary, or as DoH's contracting officer may reasonably direct, for the protectionand preservation of the property related to this Contract which is in the possession of the LHJ, or itssubcontractors, and in which DoH has or may acquire an interest.
