LocalDealerNetworkutilizedforthisParticipatingAddendum,and,uponrequest,promptlyprovideEnterpriseServiceswithsuchlistandanyupdates.•CONTRACTORRESPONSIBILITYFORLocALDEALERNETWORK.ContractorshallberesponsibletoensurethatallrequirementsoftheMasterAgreement(including,butnotlimitedto,insurancerequirements,indemnification,Washingtonstatebusinessregistration,etc.)flowdowntoanyandallLocalDealerNetwork.InnoeventshalltheexistenceofasubcontractbetweencontractoranditssubcontractoroperatetoreleaseorreduceContractor'sliabilitytotheParticipatingStateoranyPurchaserforanybreachoftheMasterAgreementorthisParticipatingAddendum.AstoParticipatingStateandPurchasershereunder,Contractorshallhavefullandcompleteresponsibilityandliabilityforanyactoromissionbycontractor'sLocalDealerNetwork.•PURCHASERPAYMENTREGARDINGCONTRACTOR'SLocALDEALERNETWORK.Notwithstandinganyprovisiontothecontrary,thepartiesunderstandandagreethatforanycontractsalesorserviceprovidedpursuanttotheMasterAgreementandthisParticipatingAddendum,PurchaserpaymentshallbemadedirectlytoContractorastheawardedvendorpursuanttothecompetitiveprocurement;provided,however,that,intheeventanysuchsalesorservicesareperformedbyaLocalDealerNetworkforContractor,ContractormayinstructsuchPurchasertomakepaymentforsuchsalesorservicestoContractor'sidentifiedLocalDealerNetwork.RegardlessofwhethercontractorinstructsaPurchasertomakesuchpaymenttocontractor'sLocalDealerNetwork,contractorshallremainresponsibleforperformance.•CONTRACTSALESREPORTING.Notwithstandinganyprovisiontothecontrary,contractorshallreporttoEnterpriseServicestotalcontractsales,delineatedbypurchaser,madebyeachindividualLocalDealerNetworkandalsoreporttotalcontractsales,delineatedbypurchaser,onaconsolidatedContractor'roll-up'basis.ContractorshallmaintainrecordssupportingsuchreportsinaccordancewiththeMasterAgreement'srecordsretentionrequirements.7.SHOWROOMEQUIPMENT:UponrequestbyaPurchasers,showroomEquipmentforGroupsA,B,andCmaybeconvertedtoapurchase,lease,orrentalprovidingthefollowingconditionsaremet:(a)ThemetercountonGroupAandGroupBDevicesdoesnotexceed10,000copiestotal(i.e.black-and-whiteandcolorcombined);andthemetercountonGroupCDevicesdoesnotexceed50,000copiestotal(i.e.black-and-whiteandcolorcombined);(b)TheDevicemustbediscountedbyatleast5%offtheMasterAgreementpricingforthatsameDevice;andthePurchasingEntityandthecontractormustindicateontheOrderthattheDeviceisashowroommodel.8.SOFTWARE:Purchasersthatacquiresoftwareshallbesubjecttothelicenseagreementsdistributedwithsuchsoftware.Softwaresubscriptionsshallnotbesubjecttoautomaticrenewals.Purchasersshallhavetheoptiontofinancesoftwaresubscriptionsbyutilizingcontractorleaseandrentalrates.Notwithstandingtheforegoing,intheeventofaconflictinlanguagebetweenanenduserlicenseagreement(EULA)andtheMasterAgreement,thelanguageintheMasterAgreementwillsupersedeandcontrol.Inaddition,anylanguageinaEULAwhichviolatesaparticipatingstate'sconstitutionorPARTICIPATINGADDENDUM-No.06619:COPIERS&MANAGEDPRINTSERVICESPage7(Rev.2019-12-01)USA-SEC-2020-SIICA-107350
