rNpEMNtFtCArloN <br />Each party to this Agreement shall be responsible for its own acts or omissions and forthose of its officers, employees, and agents. Neither party shall be responsible for the acts <br />or omissions of persons or entities not a party to this Agreement. <br />AG REEM ENT CHAN9 ES. MOpt qtcATtgNS AN D AM END,M ENTq <br />This Agreement rnay be changed, modified, or amended by written agreement executedby both parties. <br />TERMINATION <br />Either party may terminate this Agreement upon 30 days' prior written notification to theother party. lf this Agreement is so terminated, the pariies shall be liable only forperformance rendered or costs incurred in accordance with the terms of this Agreementprior to the effective date of termination. <br />TERMINATION FOR CAUSE <br />lf for any cause, either party does not fulfill in a timely and proper manner its obligationsunder this Agreem_ent, or if either party violates any of these terms and conditions, theaggrieved party will give the other party written notice of such failure or violation. Theresponsible party will be given the opportunity to correct the violation or failure within 15working days' lf failure or violation is not corrected, this Agreement may be terminatedimmediately by written notice of the aggrieved party to the other. <br />F"ORCE MAJEgRE <br />Either party may cancel this Agreement without obligation or liability to the other party in theevent that it becomes impossible or impracticable for that party to perform its obligations <br />hereunder by reason-of force majeure beyond that party's reasonable controt, includr:ng butnot fimited to fire, flood, earthquake, pandemic, or bther acts of God, war, invaiion, <br />hostilities, rebellion, insurrection, or prohibitory or injunctive orders of any competent judiciai <br />or other govemmental authority, civilor military. ln the event of such caniellation, the parties <br />shall be liable only for performance rendered br costs incurred in accordance with the terms <br />of this Agreement prior to the effective date of termination. <br />DISP.I'TES <br />ln the event that a dispute arises under this Agreement, it shall be determined by a DisputeBoard in the following manner: Each party to this Agreement shall appoint one member to <br />the Dispute Board. The members so appointed shailJointly appoint an additional member tothe Dispute Board. The Dispute Board shall review ihe'iacts, agreement terms andapplicable statutes and rules and make a determination of the disputJ. The determination <br />of the Dispute Board shall be final and binding on the parties hereto. As an alternative tothis process, either of. the parties may request intervention by the Governor, as frovided byRCW 43.17.330, in which event the Governor's process will control.
