B. CDBGNationalObiective <br />The subrecipient certifies the activities carried out under this Agreement meet a cDBGProgram Nationar objective defined in 24 cFR 57o.2og. <br />C. lndependentContractor <br />Nothing contained in this Agreement is intended to, or will be construed in any manner, ascreating or establishing the relationship of employer/employee between the parties. TheSubrecipient will at all times remain an "independeni contractor,, with respect to theservices to be performed under this Agreement. The Local Government *itt u. exemptfrom payment of atl Unemployment compensation, FlcA, retirement, life and/ormedicalinsurance and workers' compensation lnsurance, as the subrecipient is an independentcontractor. <br />D. Hold Harmless <br />The subrecipient will hold harmless, defend and indemnify the Local Government from anyand all claims, actions, suits, charges and judgments whatsoever that arise out of thesubrecipient's performance or nonperformance of the services or subject matter called forin this Agreement. <br />E, Workers'Compensation <br />The subrecipient will provide workers' compensation rnsurance coverage for all of itsemployees involved in the performance of this Agreement. <br />F. lnsurance and Bonding <br />The subrecipient will carry sufficient insurance coverage to protect contract assets from lossdue to theft, fraud and/or undue physicar damage, ,nJ., a minimum wi1 purchase ablanket fidelity bond covering all employees in an amount equal to cash advances from theLoca J Government. <br />The subrecipient shall furnish the Local Government with properly executed certificate ofinsurance or a signed policy endorsement which shall clearly evidence all insurance requiredin this section prior to commencement of services. The certificates will, at a minimum, listlimits of liability and coverage. The certificate will provide that the underlying insurancecontract will not be cancelled or allowed to expire except on thirty (30) dayslrior writtennotice to the Local Government. Exhibit A includes the insurance requirements for theSubrecipient <br />G. Fundine Source Recoenition <br />The subrecipient will insure recognition of the roles of commerce, the wA state GDBGprogram' and the Local Government in providing services through this Agreement. Allactivities, facilities and items utilized pursuant to this Agreement will be prominenlylabeled as to funding source. ln addition, the subrecipiint will include a reference to thesupport provided herein in all publications made portibt. with funds made available underthis Agreement. <br />ATTACHMENT lS.C {5) <br />Contract Page 006 Page 5 of 14 <br />Revised 1/2512A21
