subcontractors,and(b)theWTSC,itsofficers,employees,oragents,orinvolvesthoseactionscoveredbyRCW4.24.115,theindemnityprovisionsprovidedhereinshallbevalidandenforceableonlytotheextentofthenegligenceoftheSUB-RECIPIENT,itsofficers,employees,agents,contractors,orsubcontractors.17.2.TheSUB-RECIPIENTwaivesitsimmunityunderTitle51RCWtotheextentitisrequiredtoindemnify,defend,andholdharmlesstheWTSC,itsofficers,employees,oragents.17.3.TheindemnificationandholdharmlessprovisionshallsurviveterminationofthisAgreement.18.INDEPENDENTCAPACITYTheemployeesoragentsofeachPartywhoareengagedintheperformanceofthisAgreementshallcontinuetobeemployeesoragentsofthatPartyandshallnotbeconsideredforanypurposetobeemployeesoragentsoftheotherParty.19.INSURANCECOVERAGE19.1.TheSUB-RECIPIENTshallcomplywiththeprovisionsofTitle51RCW,IndustrialInsurance,ifrequiredbylaw.19.2.IftheSUB-RECIPIENTisnotrequiredtomaintaininsuranceinaccordancewithTitle51RCW,priortothestartofanyperformanceofworkunderthisAgreement,theSUB-RECIPIENTshallprovideWTSCwithproofofinsurancecoverage(e.g.,vehicleliabilityinsurance,privatepropertyliabilityinsurance,orcommercialpropertyliabilityinsurance),asdeterminedappropriatebyWTSC,whichprotectstheSUB-RECIPIENTandWTSCfromrisksassociatedwithexecutingtheSOWassociatedwiththisAgreement.20.LICENSING,ACCREDITATION,ANDREGISTRATIONTheSUB-RECIPIENTshallcomplywithallapplicablelocal,state,andfederallicensing,accreditation,andregistrationrequirementsandstandardsnecessaryfortheperformanceofthisAgreement.TheSUB-RECIPIENTshallcompleteregistrationwiththeWashingtonStateDepartmentofRevenue,ifrequired,andberesponsibleforpaymentofalltaxesdueonpaymentsmadeunderthisAgreement.21.RECORDSMAINTENANCE21.1.DuringthetermofthisAgreementandforsixyearsthereafter,theSUB-RECIPIENTshallmaintainbooks,records,documents,andotherevidencethatsufficientlyandproperlyreflectalldirectandindirectcostsexpendedintheperformanceoftheservicesdescribedherein.Theserecordsshallbesubjecttoinspection,review,orauditbyauthorizedpersonneloftheWTSC,theOfficeoftheStateAuditor,andfederalofficialssoauthorizedbylaw.Allbooks,records,documents,andothermaterialrelevanttothisAgreementwillberetainedforsixyearsafterexpiration.TheOfficeoftheStateAuditor,federalauditors,theWTSC,andanydulyauthorizedrepresentativesshallhavefullaccessandtherighttoexamineanyofthesematerialsduringthisperiod.21.2.Recordsandotherdocuments,inanymedium,furnishedbyonePartytothisAgreementtotheotherParty,willremainthepropertyofthefurnishingParty,unlessotherwiseagreed.ThereceivingPartywillnotdiscloseormakeavailablethismaterialtoanythirdPartieswithoutfirstgivingnoticetothefurnishingPartyandgivingthemareasonableopportunitytorespond.EachPartywillutilizereasonablesecurityprocedures
