federalfmancialassistanceforthisAgreement.TheWTSCshallhavetheright,intheeventofbreachofthissectionbytheSUB-RECIPIENT,toannulthisAgreementwithoutliability.14.DISPUTES14.1.DisputesarisingintheperformanceofthisAgreement,whicharenotresolvedbyagreementoftheParties,shallbedecidedinwritingbytheWTSCDeputyDirectorordesignee.Thisdecisionshallbefinalandconclusive,unlesswithin10daysfromthedateoftheSUB-RECIPIENT'sreceiptofWTSC'swrittendecision,theSUB-RECIPIENTfurnishesawrittenappealtotheWTSCDirector.TheSUB-RECIPIENT'sappealshallbedecidedinwritingbytheDirectorordesigneewithin30daysofreceiptoftheappealbytheDirector.ThedecisionshallbebindingupontheSUB-RECIPIENTandtheSUB-RECIPIENTshallabidebythedecision.14.2.PerformanceDuringDispute.UnlessotherwisedirectedbyWTSC,theSUB-RECIPIENTshallcontinueperformanceunderthisAgreementwhilemattersindisputearebeingresolved.15.GOVERNANCE15.1.ThisAgreementisenteredintopursuanttoandundertheauthoritygrantedbythelawsofthestateofWashingtonandanyapplicablefederallaws.TheprovisionsofthisAgreementshallbeconstruedtoconformtothoselaws.15.2.IntheeventofaninconsistencyinthetermsofthisAgreement,orbetweenitstermsandanyapplicablestatuteorrule,theinconsistencyshallberesolvedbygivingprecedenceinthefollowingorder:15.2.1.Applicablefederalandstatestatutesandrules15.2.2.TermsandConditionsofthisAgreement15.2.3.AnyAmendmentexecutedunderthisAgreement15.2.4.AnySOWexecutedunderthisAgreement15.2.5.AnyotherprovisionsoftheAgreement,includingmaterialsincorporatedbyreference16.INCOMEAnyincomeearnedbytheSUB-RECIPIENTfromtheconductoftheSOW(e.g.,saleofpublications,registrationfees,orservicecharges)mustbeaccountedfor,andthatincomemustbeappliedtoprojectpurposesorusedtoreduceprojectcosts.17.INDEMNIFICATION17.1.Tothefullestextentpermittedbylaw,theSUB-RECIPIENTshallindemnifyandholdharmlesstheWTSC,itsofficers,employees,andagents,andprocessanddefendatitsownexpenseanyandallclaims,demands,suitsatlaworequity,actions,penalties,losses,damages,orcostsofwhatsoeverkind("claims")broughtagainstWTSCarisingoutoforinconnectionwiththisAgreementand/ortheSUB-RECIPIENT'sperformanceorfailuretoperformanyaspectoftheAgreement.ThisindemnityprovisionappliestoallclaimsagainstWTSC,itsofficers,employees,andagentsarisingoutof,inconnectionwith,orincidenttotheactsoromissionsoftheSUB-RECIPIENT,itsofficers,employees,agents,contractors,andsubcontractors.Provided,however,thatnothinghereinshallrequiretheSUB-RECIPIENTtoindemnifyandholdharmlessordefendtheWTSC,itsagents,employees,orofficerstotheextentthatclaimsarecausedbythenegligentactsoromissionsoftheWTSC,itsofficers,employeesoragents;andprovidedfurtherthatifsuchclaimsresultfromtheconcurrentnegligenceof(a)theSUB-RECIPIENT,itsofficers,employees,agents,contractors,or
