g.Takesuchactionasmaybenecessary,orastheDepadmentmayrequire,fortheprotectionandpreservationofthepropertyrelatedtothisAgreementwhichisinthepossessionoftheSubrecipientandinwhichtheDepartmenthasormayacquireaninterest.A.34UTILIZATIONOFMINORITYANDWOMENBUSINESSENTERPRISES(MWBE)TheSubrecipientisencouragedtoutilizebusinessfirmsthatarecedifiedasminority-ownedand/orwomen-ownedincarryingoutthepurposesofthisAgreement.TheSubrecipientmaysetutilizationstandards,baseduponlocalconditionsormayutilizetheStateofWashingtonMWBEgoals,asidentifiedinWAC326-30-041.A.35VENUEThisAgreementshallbeconstruedandenforcedinaccordancewith,andthevalidityandperformanceshallbegovernedby,thelawsoftheStateofWashington.VenueofanysuitbetweenthepartiesarisingoutofthisAgreementshallbetheSuperiorCourtofThurstonCounty,Washington.TheSubrecipient,byexecutionofthisAgreementacknowledgesthejurisdictionofthecourtsoftheStateofWashington.A.36WAIVERSNoconditionsorprovisionsofthisAgreementcanbewaivedunlessapprovedinadvancebytheDepartmentinwriting.TheDepartment'sfailuretoinsistuponstrictperformanceofanyprovisionoftheAgreementortoexerciseanyrightbaseduponabreachthereof,ortheacceptanceofanyperformanceduringsuchbreach,shallnotconstituteawaiverofanyrightunderthisAgreement.DHS-FEMA-HSGP-SHSP-FFY18Page20of38KittitasCountySheriffsOffice,E21-187
