TheDepadmentreservestherighttosuspendallorpartoftheAgreement,withholdfurtherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffundsduringinvestigationoftheallegedcompliancebreach,pendingcorrectiveactionbytheSubrecipient,ifallowed,orpendingadecisionbytheDepartmenttoterminatetheAgreementinwholeorinpart.Intheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw,including,butnotlimitedto,anycostdifferencebetweentheoriginalAgreementandthereplacementorcoverAgreementandalladministrativecostsdirectlyrelatedtothereplacementAgreement,e.g.,costofadministeringthecompetitivesolicitationprocess,mailing,advedisingandotherassociatedstafftime.TherightsandremediesoftheDepartmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.IfitisdeterminedthattheSubrecipient:(1)wasnotindefaultormaterialbreach,or(2)failuretoperformwasoutsideoftheSubrecipient'scontrol,faultornegligence,theterminationshallbedeemedtobea"TerminationforConvenience".A.33TERMINATIONPROCEDURESInadditiontotheproceduressetfodhbelow,iftheDepartmentterminatesthisAgreement,theSubrecipientshallfollowanyproceduresspecifiedintheterminationnotice.UponterminationofthisAgreementandinadditiontoanyotherrightsprovidedinthisAgreement,theDepartmentmayrequiretheSubrecipienttodelivertotheDepartmentanypropertyspecificallyproducedoracquiredfortheperformanceofsuchpadofthisAgreementashasbeenterminated.Iftheterminationisforconvenience,theDepartmentshallpaytotheSubrecipientasanagreeduponprice,ifseparatelystated,forproperlyauthorizedandcompletedworkandservicesrenderedorgoodsdeliveredtoandacceptedbytheDepartmentpriortotheeffectivedateofAgreementtermination,theamountagreeduponbytheSubrecipientandtheDepartmentforcompletedworkandservicesand/orequipmentorsuppliesprovidedforwhichnoseparatepriceisstated,partiallycompletedworkandservicesand/orequipmentorsuppliesprovidedwhichareacceptedbytheDepartment,(iii)otherwork,servicesand/orequipmentorsupplieswhichareacceptedbytheDepartment,and(iv)theprotectionandpreservationofproperty.Failuretoagreewithsuchamountsshallbeadisputewithinthemeaningofthe"Disputes"clauseofthisAgreement.Iftheterminationisforcause,theDepartmentshalldeterminetheextentoftheliabilityoftheDepartment.TheDepartmentshallhavenootherobligationtotheSubrecipientfortermination.TheDepartmentmaywithholdfromanyamountsduetheSubrecipientsuchsumastheDepartmentdeterminestobenecessarytoprotecttheDepartmentagainstpotentiallossorliability.TherightsandremediesoftheDepartmentprovidedinthisAgreementshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.Afterreceiptofanoticeoftermination,andexceptasotherwisedirectedbytheDepartmentinwriting,theSubrecipientshall:a.StopworkundertheAgreementonthedate,andtotheextentspecified,inthenotice;b.Placenofurtherordersorcontractsformaterials,services,supplies,equipmentand/orfacilitiesinrelationtothisAgreementexceptasmaybenecessaryforcompletionofsuchportionoftheworkundertheAgreementasisnotterminated;c.AssigntotheDepartment,inthemanner,atthetimes,andtotheextentdirectedbytheDepartment,alloftherights,title,andinterestoftheSubrecipientundertheordersandcontractssoterminated,inwhichcasetheDepartmenthastheright,atitsdiscretion,tosettleorpayanyorallclaimsarisingoutoftheterminationofsuchordersandcontracts;d.Settlealloutstandingliabilitiesandallclaimsarisingoutofsuchterminationofordersandcontracts,withtheapprovalorratificationoftheDepartmenttotheextenttheDepartmentmayrequire,whichapprovalorratificationshallbefinalforallthepurposesofthisclause;e.TransfertitletotheDepartmentanddeliverinthemanner,atthetimes,andtotheextentdirectedbytheDepartmentanypropertywhich,iftheAgreementhadbeencompleted,wouldhavebeenrequiredtobefurnishedtotheDepartment;f.CompleteperformanceofsuchpartoftheworkasshallnothavebeenterminatedbytheDepartmentincompliancewithallcontractualrequirements;andDHS-FEMA-HSGP-SHSP-FFY18Page19of38KittitasCountySheriffsOffice,E21-187
