30.4.IfanyWTSCpropertyislost,destroyed,ordamaged,theSUB-RECIPIENTshallimmediatelynotifytheWTSCandshalltakeallreasonablestepstoprotectthepropertyfromfurtherdamage.30.5.TheSUB-RECIPIENTshallsurrendertotheWTSCallpropertyoftheWTSCuponcompletion,termination,orcancellationofthisAgreement.30.6.AllreferencetotheSUB-RECIPIENTunderthisclauseshallalsoincludeSUB-RECIPIENT'semployees,agents,orsub-contractors.31.WAIVERAfailurebyeitherPartytoexerciseitsrightsunderthisAgreementshallnotprecludethatPartyfromsubsequentexerciseofsuchrightsandshallnotconstituteawaiverofanyotherrightsunderthisAgreement.APPLICABLECERTIFICATIONSANDASSURANCESFORHIGHWAYSAFETYGRANTS(23CFRPART1300APPENDIXA):32.BUYAMERICAACTTheSUB-RECIPIENTwillcomplywiththeBuyAmericarequirement(23U.S.C.313)whenpurchasingitemsusingfederalfunds.BuyAmericarequirestheSUB-RECIPIENTtopurchaseonlysteel,iron,andmanufacturedproductsproducedintheUnitedStates,unlesstheSecretaryofTransportationdeterminesthatsuchdomesticallyproduceditemswouldbeinconsistentwiththepublicinterest,thatsuchmaterialsarenotreasonablyavailableandofasatisfactoryquality,orthatinclusionofdomesticmaterialswillincreasethecostoftheoverallprojectcontractbymorethan25percent.Inordertousefederalfundstopurchaseforeignproduceditems,theWTSCmustsubmitawaiverrequestthatprovidesanadequatebasisandjustification,andwhichisapprovedbytheSecretaryofTransportation.33.DEBARMENTANDSUSPENSIONInstructionsforLowerTierCertification33.1.BysigningthisAgreement,theSUB-RECIPIENT(hereinafterinthissectionreferredtoasthe"lowertierparticipant")isprovidingthecertificationsetoutbelowandagreestocomplywiththerequirementsof2CFRpart180and23CFRpart1300.33.2.Thecertificationinthissectionisamaterialrepresentationoffactuponwhichreliancewasplacedwhenthistransactionwasenteredinto.Ifitislaterdeterminedthatthelowertierparticipantknowinglyrenderedanerroneouscertification,inadditiontootherremediesavailabletothefederalgovernment,thedepartmentoragencywithwhichthistransactionoriginatedmaypursueavailableremedies,includingsuspensionand/ordebarment.33.3.ThelowertierparticipantshallprovideimmediatewrittennoticetotheWTSCifatanytimethelowertierparticipantlearnsthatitscertificationwaserroneouswhensubmittedorhasbecomeerroneousbyreasonofchangedcircumstances.
