invalid,suchinvalidityshallnotaffecttheotherprovisionsofthisAgreementwhichcanbegiveneffectwithouttheinvalidprovision,ifsuchremainderconformstotherequirementsofapplicablelawandthefundamentalpurposeofthisAgreement,andtothisendtheprovisionsofthisAgreementaredeclaredtobeseverable.26.SITESECURITYWhileonWTSCpremises,theSUB-RECIPIENT,itsagents,employees,orsub-contractorsshallconforminallrespectswithallWTSCphysical,fire,orothersecuritypoliciesandapplicableregulations.27.TAXESAllpaymentsofpayrolltaxes,unemploymentcontributions,anyothertaxes,insurance,orothersuchexpensesfortheSUB-RECIPIENToritsstaffshallbethesoleresponsibilityoftheSUB-RECIPIENT.28.TERMINATIONFORCAUSEIftheSUB-RECIPIENTdoesnotfulfillinatimelyandpropermanneritsobligationsunderthisAgreementorviolatesanyofthesetermsandconditions,theWTSCwillgivetheSUB-RECIPIENTwrittennoticeofsuchfailureorviolation,andmayterminatethisAgreementimmediately.AttheWTSC'sdiscretion,theSUB-RECIPIENTmaybegiven15daystocorrecttheviolationorfailure.IntheeventthattheSUB-RECIPIENTisgiventheopportunitytocorrecttheviolationandtheviolationisnotcorrectedwithinthe15-dayperiod,thisAgreementmaybeterminatedattheendofthatperiodbywrittennoticeoftheWTSC.29.TERMINATIONFORCONVENIENCEExceptasotherwiseprovidedinthisAgreement,eitherPartymayterminatethisAgreement,withoutcauseorreason,with30dayswrittennoticetotheotherParty.IfthisAgreementissoterminated,theWTSCshallbeliableonlyforpaymentrequiredunderthetermsofthisAgreementforservicesrenderedorgoodsdeliveredpriortotheeffectivedateoftermination.30.TREATMENTOFASSETS30.1.TitletoallpropertyfumishedbytheWTSCshallremainpropertyoftheWTSC.TitletoallpropertyfurnishedbytheSUB-RECIPIENTforthecostofwhichtheSUB-RECIPIENTisentitledtobereimbursedasadirectitemofcostunderthisAgreementshallpasstoandvestintheWTSCupondeliveryofsuchpropertybytheSUB-RECIPIENT.Titletootherproperty,thecostofwhichisreimbursabletotheSUB-RECIPIENTunderthisAgreement,shallpasstoandvestintheWTSCupon(i)issuanceforuseofsuchpropertyintheperformanceofthisAgreement,or(ii)commencementofuseofsuchpropertyintheperformanceofthisAgreement,or(iii)reimbursementofthecostthereofbytheWTSCinwholeorinpart,whicheverfirstoccurs.30.2.AnypropertyoftheWTSCfurnishedtotheSUB-RECIPIENTshall,unlessotherwiseprovidedhereinorapprovedbytheWTSC,beusedonlyfortheperformanceofthisAgreement.30.3.TheSUB-RECIPIENTshallberesponsibleforanylossordamagetopropertyoftheWTSCwhichresultsfromthenegligenceoftheSUB-RECIPIENTorwhichresultsfromthefailureonthepartoftheSUB-RECIPIENTtomaintainandadministerthatpropertyinaccordancewithsoundmanagementpractices.
