EXHIBIT F BYLAWS OF KITTITAS COUNTY JOINT CONTROL BOARD NO. 1 Article 1 The Kittitas County Joint Control Board No. 1 was approved by the Kittitas County Board of County Commissioners pursuant to RCW 87.80.090 on , 2020 and is organized, formed and governed by Chapter 87.80 Revised Code of Washington. It shall be known as the Kittitas County Joint Control Board No. 1. The Kittitas County Joint Control Board No. 1 is comprised of the Kittitas Reclamation District, an irrigation district organized under and governed by Chapter 87.03 Revised Code of Washington, and the West Side Irrigating Company, a Washington corporation ("West Side"). Both KRD and West Side are irrigation entities as that term is defined in RCW 87.80.005. Both KRD and West Side have water supply contracts with the United States Bureau of Reclamation. Article 2 The principle places of business is the Kittitas Reclamation District at 315 N Water St., P.O. Box 276, Ellensburg, WA 98926. Article 3 The Directors shall meet in public meeting at the Kittitas Reclamation District offices located at 315 N Water St., P.O. Box 276, Ellensburg, WA 98926 on the second Tuesday of every other month or at such other time as may be lawfully designated. All meetings shall be conducted in a manner consistent with RCW 87.80.110. Article 4 There shall be four (4) Directors, composed of two (2) Directors appointed by KRD and two (2) Directors appointed by West Side. Directors appointed by KRD must be elected Directors of KRD. Directors appointed by West Side must be Directors of West Side. Article 5 The Directors of the Kittitas County Joint Control Board No. 1 shall organize as a Board ofDirectors consistent with RCW 87.80. 100 and shall elect a Chairman and Vice -Chairman from their number. An individual may serve multiple terms as Board Director but may not serve consecutive terms as a Board Chair. The Board of Directors shall appoint a Secretary, Recording Secretary, and Treasurer each year. Elections and appointments shall occur at the January Board meeting and shall serve a term of one (1) year. Article 6 The administrative expenses of the Kittitas County Joint Control Board No. 1 shall be apportioned ninety-two percent (92%) to KRD and eight percent (8%) to West Side Irrigation Company. Costs and expenses for specific projects and programs will be apportioned and embodied in contracts or memorandums of understanding ratified by the Board of Directors of the Kittitas County Joint Control Board No. 1, KRD, and West Side. Article 7 The Board of Directors shall establish policy and formulate rules and regulations for operation of the Kittitas County Joint Control Board No. 1 as authorized and required under Chapter 87.80, Revised Code of Washington, and in accordance with Federal Contracts and Federal Reclamation Law. Article 8 The area of jurisdiction of the Kittitas County Joint Control Board No. 1 shall be the authorized place of use of the water rights confirmed in the Final Decree entered on May 9, 2019 in Ecology v Acquavella, Yakima County Superior Court No. 77-2-01484-5 and assigned the following Certificate Numbers: S4 -84348-J, S4 -84347-J, and S4 -84637-J.
