revisingdesignalreadycompleted,revisingcalculationsalreadyperformed,andrevisingdocuments.13.TerminationforDefault:IftheContractordefaultsbyfailingtoperformanyoftheobligationsoftheAgreementorbecomesinsolventorisdeclaredbankruptorcommitsanyactofbankruptcyorinsolvencyormakesanassignmentforthebenefitofcreditors,theCountymay,bydepositingwrittennoticetotheContractorintheU.S.mail,postageprepaid,terminatetheAgreement,andattheCounty'soption,obtainperformanceoftheworkelsewhere.IftheAgreementisterminatedfordefault,theContractorshallnotbeentitledtoreceiveanyfurtherpaymentsundertheAgreementuntilallworkcalledforhasbeenfullyperformed.AnyextracostordamagetotheCountyresultingfromsuchdefault(s)shallbedeductedfromanymoneydueorcomingduetotheContractor.TheContractorshallbearanyextraexpensesincurredbytheCountyincompletingthework,andalldamagesustained,orwhichmaybesustainedbytheCountybyreasonofsuchdefault.IfanoticeofterminationfordefaulthasbeenissuedanditislaterdeterminedforanyreasonthattheContractorwasnotindefault,therightsandobligationsofthepartiesshallbethesameasifthenoticeofterminationhadbeenissuedpursuanttotheTerminationforPublicConvenienceparagraphhereof.14.TerminationforPublicConvenience:TheCountymayterminatetheAgreementinwholeorinpartwhenevertheCountydetermines,initssolediscretionthatsuchterminationisinthebestinterestsoftheCounty.WhenevertheAgreementisterminatedinaccordancewiththisparagraph,theContractorshallbeentitledtopaymentforactualworkperformedatunitcontractpricesforcompleteditemsofwork.Intheeventofsuchtermination,anequitableadjustmentshallbemadeinthecompensationpayabletoContractor.Anequitableadjustmentinthecontractpriceforpartiallycompleteditemsofworkwillbemade,butsuchadjustmentshallnotincludeprovisionforlossofanticipatedprofitondeletedoruncompletedwork.TerminationofthisAgreementbytheCountyatanytimeduringtheterm,whetherfordefaultorconvenience,shallnotconstituteabreachofcontractbytheCounty.15.Defense&IndemnityAqreement:TheContractoragreestoandshalldefend,indemnifyandholdharmlesstheCounty,itsAdditionalInsureds,appointedandelectiveofficers,agentsandemployees,fromandagainstalllossorexpense,includingbutnotlimitedtojudgments,settlements,attorney'sfeesandcostsbyreasonofanyandallclaimsanddemandsupontheCounty,itsAdditionalInsureds,itselectedorappointedofficials,agents,oremployeesfordamagesbecauseofpersonalorbodilyinjury,includingdeathatanytimeresultingtherefrom,sustainedbyanypersonorpersonsandonaccountofdamagetopropertyincludinglossofusethereof,whethersuchinjurytopersonsordamagetopropertyisduetothenegligenceoftheProfessionalServicesAgreement(rev.09/24/2018)Page6of18
