10.RequlationsandRequirement:ThisAgreementshallbesubjecttoalllaws,rulesandregulationsoftheUnitedStatesofAmerica,andStateofWashington,andpoliticalsubdivisionsoftheStateofWashington,andtoanyotherprovisionssetforthhereinorintheattachedexhibits.11.RighttoReview:ThiscontractissubjecttoreviewbyanyFederalorStateauditor.TheCountyoritsdesigneeshallhavetherighttoreviewandmonitorthefinancialandservicecomponentsofthisprogrambywhatevermeansaredeemedexpedientbytheCounty.Suchreviewmayoccurwithorwithoutnotice,andmayinclude,butisnotlimitedto,on-siteinspectionbyCountyagentsoremployees,inspectionofallrecordsorothermaterialswhichtheCountydeemspertinenttotheAgreementanditsperformance,andanyandallcommunicationswithorevaluationbyservicerecipientsunderthisAgreement.TheContractorshallpreserveandmaintainallfinancialrecordsandrecordsrelatingtotheperformanceofworkunderthisAgreementfor6yearsaftercontracttermination,andshallmakethemavailableforsuchreview,withinKittitasCounty,StateofWashington,uponrequest.12.Modifications:12.1EitherpartymayrequestchangesintheAgreement.Anyandallagreedmodificationsshallbeinwriting,signedbyeachoftheparties.12.2TheCountymay,atanytime,bywrittennoticethereoftoContractor("ChangeNotice")makeschangesintheWorkwithinthegeneralscopeofthisAgreement,including,butnotlimitedto:(a)changesin,revisionsto,substitutionsfor,additionstoordeletionsofanyWork;(b)changesinschedule;and(c)acceleration,decelerationorsuspensionofperformanceofanyWork.12.3IfanychangeintheWorkcausesanincreaseordecreaseonContractor'scostof,orthetimerequiredfor,performanceoftheWork,anequitableadjustmentinthecompensationtoContractorandintheschedulefortheperformanceoftheWorkshallbemadetoreflectsuchanincreaseordecrease.12.4Notwithstandinganydisputeordelayinarrivingatamutuallyacceptableequitableadjustment,ContractorshallproceedinaccordancewithallChangeNotices.Contractormust,withinthirty(30)daysafterreceiptofanyChangeNoticethatdoesnotsetforthanyacceptableadjustment,submittotheCountyawrittenstatementsettingforthanyadjustmentclaimed.12.5IfanychangeresultsinadecreaseintheWorkperformed,ContractorshallbeentitledtocompensationassociatedwithchangingtheWork,suchasProfessionalServicesAgreement(rev.09/24/2018)Page5of18
