beyondthereasonablecontroloftheContractorandwithoutitsfaultornegligence,suchasactsofGodorthepublicenemy,actsoftheGovernmentineitheritssovereignorcontractualcapacity,fires,floods,epidemics,quarantinerestrictions,strikes,unusuallysevereweather,anddelaysofcommoncarriers.TheContractorshallnotifytheContractingOfficerinwritingassoonasitisreasonablypossibleafterthecommencementofanyexcusabledelay,settingforththefullparticularsinconnectiontherewith,shallremedysuchoccurrencewithallreasonabledispatch,andshallpromptlygivewrittennoticetotheContractingOfficerofthecessationofsuchoccurrence.(f)TerminationfortheGovernment'sconvenience.TheGovernmentreservestherighttoterminatethiscontract,oranyparthereof,foritssoleconvenience.Intheeventofsuchtermination,theContractorshallimmediatelystopallworkhereunderandshallimmediatelycauseanyandallofitssuppliersandsubcontractorstoceasework.Subjecttothetermsofthiscontract,theContractorshallbepaidapercentageofthecontractpricereflectingthepercentageoftheworkperformedpriortothenoticeoftermination,plusreasonablechargesthattheContractorcandemonstratetothesatisfactionoftheGovernment,usingitsstandardrecordkeepingsystem,haveresultedfromthetermination.TheContractorshallnotberequiredtocomplywiththecostaccountingstandardsorcontractcostprinciplesforthispurpose.ThisparagraphdoesnotgivetheGovernmentanyrighttoaudittheContractor¿srecords.TheContractorshallnotbepaidforanyworkperformedorcostsincurredthatreasonablycouldhavebeenavoided.(g)Terminationforcause.TheGovernmentmayterminatethiscontract,oranyparthereof,forcauseintheeventofanydefaultbytheContractor,oriftheContractorfailstocomplywithanycontracttermsandconditions,orfailstoprovidetheGovernment,uponrequest,withadequateassurancesoffutureperformance.Intheeventofterminationforcause,theGovernmentshallnotbeliabletotheContractorforanyamountforsuppliesorservicesnotaccepted,andtheContractorshallbeliabletotheGovernmentforanyandallrightsandremediesprovidedbylaw.IfitisdeterminedthattheGovernmentimproperlyterminatedthiscontractfordefault,suchterminationshallbedeemedaterminationforconvenience.(h)Warranty.TheContractorwarrantsandimpliesthattheitemsdeliveredhereunderaremerchantableandfitforusefortheparticularpurposedescribedinthiscontract.(Endofclause)52.217-8OPTIONTOEXTENDSERVICES(NOV1999)TheGovernmentmayrequirecontinuedperformanceofanyserviceswithinthelimitsandattheratesspecifiedinthecontract.TheseratesmaybeadjustedonlyasaresultofrevisionstoprevailinglaborratesprovidedbytheSecretaryofLabor.Theoptionprovisionmaybeexercisedmorethanonce,butthetotalextensionofperformancehereundershallnotexceed6months.TheContractingOfficermayexercisetheoptionbywrittennoticetotheContractorwithin30days.(EndofClause)52.217-9OptionToExtendtheTermoftheContract.(MAR2000)(a)TheGovernmentmayextendthetermofthiscontractbywrittennoticetotheContractorwithin30days;providedthattheGovernmentgivestheContractorapreliminarywrittennoticeofitsintenttoextendatleast60days(60daysunlessadifferentnumberofdaysisinserted)beforethecontractexpires.ThepreliminarynoticedoesnotcommittheGovernmenttoanextension.(b)IftheGovernmentexercisesthisoption,theextendedcontractshallbeconsideredtoincludethisoptionclause.(c)Thetotaldurationofthiscontract,includingtheexerciseofanyoptionsunderthisclause,shallnotexceed60(months)(years).(Endofclause)1452.201-70AUTHORITIESANDDELEGATIONS(SEP2011)(a)TheContractingOfficeristheonlyindividualauthorizedtoenterintoorterminatethiscontract,modifyanytermorconditionofthiscontract,waiveanyrequirementofthiscontract,oracceptnonconformingwork.(b)TheContractingOfficerwilldesignateaContractingOfficer'sRepresentative(COR)attimeofaward.TheCORwillberesponsiblefortechnicalmonitoringofthecontractor'sperformanceanddeliveries.TheCORwillbeappointedinwriting,andacopyoftheappointmentwillbefurnishedtotheContractor.Changestothisdelegationwillbemadebywrittenchangestotheexistingappointmentorbyissuanceofanewappointment.(c)TheCORisnotauthorizedtoperform,formallyorinformally,anyofthefollowingactions:(1)Promise,award,agreetoaward,orexecuteanycontract,contractmodification,ornoticeofintentthatchangesorPage21
