13 Should WSDOT decline to pc&rm the task for any reason, the LOCAL <br />AGENCY agrees thaat WSDOT shall not be suliect to any liability, whatsoever, including <br />any alleged Wid party claims, for (a) any non -action on WSDOrs part, (b) action or <br />non action by the LOCAL AGENCY or (c) any action taken by any other contractor the <br />LOCAL AGENCY may hurt to perform the work that WSDOT has declined to perform. <br />1.4 WSDQT, acting as an independent comic, for the LOCAL AGENCY, or in <br />conjunction with the LOCAL AGENCY when specified in the Task Assignment; shall <br />perforin bridge kVechon andtor bridge maintenance work I -Or the LOCAL AGENCY. <br />WSDOT shall perform the bridge work as described is each individual Task Assignment <br />mly aft it is filly execrrted by both fatties. <br />«. VOICING AND PAYMM <br />2.1 Thee LOCAL AGENCY sows o reimburse WSDOT for all direct cosh <br />mcluding labor, equipment, and matmal, and all indirect costa, including WSDQT <br />wavat overhead cost recovery rate required to pczfix the bridge work as defied in <br />each individual Task Assignment WSDOT shall invoice the LOCAL AGENCY by <br />providing it detailed invoice for the bridge work performed under each Task Assignmexht. <br />The LOCAL AGENCY agrees to make payment witbin thirty (30) calendar days of fire <br />tate of WSDOT's invoice. <br />2.2 The Parties agree that the rates to be charged' .far bridge work perfarrmed by <br />WSWT shall be the othirent WSDOT rates being charged for labor, a quipnmeut, wd <br />overhead at the time the bridge work is perfmmed. Materials stball be charged at <br />WSDOrs cost: WSDO'f''s curet overhead rate will be added to all invoices for all <br />exe:ctUed Task Assigmtrents. This rate is adjusted annually and approved by FHWA. <br />23 The LOCAL AGENCY agreta that ifpayment of WSDQT invoices are rias made <br />to WSDOT within thirty (ail) calendar days as provided above, WSDOT may charge <br />interest at the rate of one percent (IV*) per month in accordance with RCW 39.76.ol o. <br />3.
