Resnomiatriom amd removaR: Any officer may be removed from office with or <br />without cause by the Board by a 2/3 majority vote of the members of the <br />Association at a meeting duly called. Any officer may resign at any time giving <br />written notice to the Board, the President or the Secretary/Treasurer. Such <br />resignation shall take effect on the date of receipt of such notice or at any later <br />time specified therein, and unless otherwise specified therein, the acceptance <br />of such resignation shall not be necessary to make it effective. <br />Section 8. <br />Vacancies: A vacancy in any office may be filled by appointment by the Board. <br />The officer appointed to such vacancy shall serve for the remainder of the term <br />of the officer he replaces. <br />Article VL <br />Amendments <br />Section 1. <br />Amendments as to By -Laws. These By -Laws may be amended by the vote or <br />written consent of thirty-three percent (33%) of the Members in attendance at <br />each annual meeting or by meeting called for this purpose. <br />Article VI H. <br />Non -Discrimination <br />Section 1. <br />Non -Discrimination Statement. Members of this association believe that no <br />person should be discriminated against because of their race, sex, age, marital <br />status, religious creed, color, national origin, sexual preference, because they <br />have minor children, ability or disability status, or because they receive public <br />assistance. The association shall be operated in an open democratic fashion and <br />shall not discriminate against anyone because they are a member of the above <br />groups. <br />Article VIII. <br />Dissolution of Corporation <br />Section 1. <br />Dissolution of Corporation: The membership, by a 2/3 vote of those eligible to <br />vote and present at a special meeting for the purpose of discussing the <br />dissolution, merger or consolidation of the corporation, shall so resolve. If the <br />vote is to dissolve then after all creditors are satisfied, and any donor's <br />instructions are met, all remaining assets of the corporation shall be <br />distributed to another Washington corporation with the same substantially <br />similar purpose as SAHA. <br />Updated: lune 2018 <br />
