which the meeting is called, shall be delivered or mailed to each Member no less <br />than three (3) days nor more than thirty (30) days before the date of the meeting. <br />Section 5. <br />quorum: Thirty-three percent (33%) of the voting power, represented in person, <br />shall constitute a quorum at any meeting of Members. <br />Section 6. <br />`ilofiisag of Membership: Each Member, in good standing, entitled to vote shall <br />be entitled to one vote upon each matter submitted to a vote at the meeting of <br />Members. If a quorum is present, the affirmative vote of the majority of the <br />members present at the meeting shall be the act of the Members, unless the act <br />of a greater number is required by law or elsewhere in these By -Laws. <br />Voting by Member shall be by raising of hand, unless ten. (10) percent of the <br />quorum at the meeting demands a vote by written ballot, in which case the voting <br />shall be by ballot and each ballot shall state the name of the Member voting. <br />Article IV. <br />Board of Directors <br />Section 1. <br />Election: Election to the Board of Directors shall take place during the annual <br />meeting by voice vote. At such election the members may cast, in respect to <br />each vacancy, as many votes as they are entitled to exercise under the <br />provisions of the Declaration (one vote per household). The person receiving the <br />largest number of votes shall be elected. Cumulative voting is not permitted. <br />Section 2. <br />Number: The affairs of the Association shall be managed by a Board of not less <br />than five (5) and not more than nine (9) Directors. <br />Section 3, <br />Term: At each annual meeting the Members shall elect all) Directors for a term <br />of one (1) year <br />Section 4. <br />Compensation: No Director shall receive compensation for any service s/he may <br />render to the Association. <br />Article V. <br />Officers <br />Section 1. <br />Updated: June 2018 3 <br />
