22.2NoticeofPotentialClaimsTheContractorshallnotbeentitledtoadditionalcompensationwhichotherwisemaybepayable,ortoextensionoftimefor(1)anyactorfailuretoactbytheCounty,or(2)thehappeningofanyeventoroccurrence,unlesstheContractorhasgiventheCountyawrittenNoticeofPotentialClaimwithinten(10)daysofthecommencementoftheact,failure,oreventgivingrisetotheclaim,andbeforefinalpaymentbytheCounty.ThewrittenNoticeofPotentialClaimshallsetforththereasonsforwhichtheContractorbelievesadditionalcompensationorextensionoftimeisdue,thenatureofthecostinvolved,andinsofaraspossible,theamountofthepotentialclaim.Contractorshallkeepfullandcompletedailyrecordsoftheworkperformed,laborandmaterialused,andallcostsandadditionaltimeclaimedtobeadditional.22.3.DetailedClaimTheContractorshallnotbeentitledtoclaimanysuchadditionalcompensation,orextensionoftime,unlesswithinthirty(30)daysofthecompletionoftheportionoftheworkfromwhichtheclaimamse,andbeforefinalpaymentbytheCounty,theContractorhasgiventheCountyadetailedwrittenstatementofeachelementofcostorothercompensationrequestedandofallelementsofadditionaltimerequired,andcopiesofanysupportingdocumentsevidencingtheamountorextensionoftimeclaimedtobedue.23.OwnershipofItemsProduced:Allwritings,programs,data,publicrecordsorothermaterialspreparedbytheContractorand/oritsconsultantsorsub-Contractors,inconnectionwithperformanceofthisAgreementshallbethesoleandabsolutepropertyoftheCounty.24.ConfidentialityTheContractor,itsemployees,sub-Contractors,andtheiremployeesshallmaintaintheconfidentialityofallinformationprovidedbytheCountyoracquiredbytheContractorinperformanceofthisAgreement,exceptuponthepriorwrittenconsentoftheKittitasCountyProsecutingAttomeyoranorderenteredbyacourtafterhavingacquiredjurisdictionovertheCounty.ContractorshallimmediatelygivetotheCountynoticeofanyjudicialproceedingsseekingdisclosureofsuchinformation.ContractorshallindemnŒyandholdharmlesstheCounty,itsAdditionalInsureds,officials,agentsoremployeesfromalllossorexpense,including,butnotlimitedtosettlements,judgments,setoffs,attomeys'feesandcostsresultingfromContractor'sbreachofthisprovision.TotheextentthatanyinformationobtainedbytheContractorisrequiredtobesharedwithorprovidedtoothersbythetermsoftheStatementoftheWork,thisprovisionisnotbreachedbysuchacts.25.Notice:ProfessionalServicesAgreement(rev.09/24/2018)Page9of17
