ExceptassetforthelsewhereintheAgreement,forallpurposesunderthisAgreement,exceptserviceofprocess,noticeshallbegivenbytheContractortothedepartmentheadofthedepartmentforwhomservicesarerendered,andtotheKittitasCountyCommissioners,205W5*Ave,Suite108,Ellensburg,WA98926.NoticetotheContractorforallpurposesunderthisAgreementshallbegiventotheaddressreflectedonthesignaturepage.NoticemaybegivenbydeliveryorbydepositingintheU.S.Mail,firstclass,postageprepaid.26.Severability:IfanytermorconditionofthisAgreementortheapplicationthereoftoanyperson(s)orcircumstancesisheldinvalid,suchinvalidityshallnotaffectotherterms,conditionsorapplicationswhichcanbegiveneffectwithouttheinvalidterm,conditionorapplication.Tothisend,thetermsandconditionsofthisAgreementaredeclaredseverable.27.Miscellaneous:27.1TheCounty'sfailureordelaytoinsistuponstrictperformanceofanyoftheprovisionsofthisAgreementortoexerciseanyrightsorremediesunderthisAgreementshallnotbeconstruedasawaiverorrelinquishmenttoanyextentofitsrighttoassertorrelyuponanysuchprovisions,rightsorremediesinthatoranyotherinstance;ratherthesameshallbeandremaininfullforceandeffect.27.2ThisAgreementembodiestheentireAgreementbetweentheCountyandContractor,andsupersedesanyandallprieragreements,regardingtheWork.Nochange,amendmentormodificationofanyprovisionsofthisAgreementshallbevalidunlesssetforthinawritteninstrumentsignedbythepartytobeboundthereby.27.3TherightsandremediesoftheCountysetforthinanyprovisionofthisAgreementareinadditiontoanddonotinanywaylimitanyotherrightsofremediesaffordedtotheCountybyanyotherprovisionsofthisAgreement,byanyofContractor'sSupportorbylaw.27.4TheheadingsofsectionsandparagraphsofthisAgreementareforconvenienceofreferenceonlyandarenotintendedtorestrict,affectorbeofanyweightintheinterpretationorconstructionoftheprovisionsofsuchsectionsorparagraphs.28.Waiver:WaiverofanybreachorconditionofthisAgreementshallnotbedeemedawaiverofanypriororsubsequentbreach.NotermsorconditionsofthisAgreementshallbeheldtobewaived,modifiedordeletedexceptbyaninstrument,inwriting,signedbythepartieshereto.29.Survival:Theprovisionsofparagraphs7,9,11,13,14,15,16,17,18,19,20,21,22,23,24,28,30,31,and32shallsurvive,notwithstandingtheterminationorinvalidityofthisAgreementforanyreason.ProfessionalSorviccoAgrocment(rev.09/24/2018)Page10of17
